1. Acceptance: This Purchase Order becomes a binding contract on the earlier of vendor's written acceptance or vendor's commencement of performance. Any proposed terms inconsistent with this Purchase Order are rejected unless expressly agreed in writing by the buyer.

2. Price and Taxes: Prices are firm and inclusive of all costs unless otherwise stated. Vendor is responsible for all taxes, duties and other governmental charges applicable to the goods or services, unless buyer indicates otherwise in writing.

3. Delivery and Risk of Loss: Time is of the essence. Delivery shall occur to the Ship To address. Risk of loss passes to buyer upon buyer's receipt and acceptance unless this Purchase Order specifies otherwise.

4. Inspection and Rejection: Buyer may inspect goods on delivery and reject nonconforming goods. Vendor shall, at buyer's option, promptly replace or refund nonconforming goods and pay reasonable costs of return and re-delivery.

5. Warranties: Vendor warrants goods/services to be free from defects in design, material and workmanship and to conform to specifications, samples and applicable laws. This warranty survives inspection, acceptance and payment.

6. Indemnity and Insurance: Vendor shall indemnify, defend and hold buyer harmless from claims arising from vendor's performance. Vendor shall maintain insurance appropriate to its obligations and provide certificates upon request.

7. Changes and Cancellations: Buyer may, by written notice, make changes in specifications, delivery schedule or quantities. Equitable adjustments to price and schedule will be made for authorized changes. Buyer may cancel for convenience subject to vendor's reasonable costs incurred prior to cancellation.

8. Remedies and Limitation: Remedies are cumulative and in addition to any other rights at law or equity. Neither party shall be liable for incidental or consequential damages except to the extent such liability cannot be disclaimed by law.

9. Compliance with Laws: Vendor shall comply with all applicable laws, regulations and buyer policies concerning labor, environment, export controls and safety.

10. Governing Law: This Purchase Order shall be governed by the laws of the state specified by the buyer and venue for disputes shall be in the courts of that state unless otherwise agreed in writing.
