Late Payment: Unpaid amounts shall accrue interest at the lesser of 1.5% per month or the maximum lawful rate. Claims for nonpayment must be submitted in writing within 60 days of invoice.

Delivery and Title: Unless otherwise agreed in writing, Vendor shall deliver goods DDP (Delivered Duty Paid) to the Ship To address. Risk of loss shall remain with Vendor until delivery and acceptance by Buyer. Title transfers upon Buyer's receipt and acceptance unless otherwise stated herein.

Terms and Conditions

Acceptance: This Purchase Order is an offer to purchase the goods and/or services described herein. Vendor's written acceptance or commencement of performance constitutes acceptance of all terms and conditions stated in this Purchase Order. Any acceptance containing additional or different terms is expressly rejected unless specifically agreed in writing by Buyer.

Conformity and Warranty: Vendor warrants that all goods delivered hereunder shall conform to Buyer specifications, be free from defects in materials and workmanship, be merchantable, and be fit for the particular purpose disclosed. Warranty shall survive inspection, acceptance and payment for the goods.

Inspection & Rejection: Buyer shall have the right to inspect goods upon receipt and may reject nonconforming goods. Rejected goods shall be returned at Vendor's expense and Vendor shall be liable for any direct costs incurred by Buyer as a result of the nonconformance.

Indemnity & Limitation: Vendor shall indemnify and hold Buyer harmless from all claims, damages, losses and expenses arising from Vendor's breach, negligence, or willful misconduct. Except for willful misconduct or indemnity obligations, Buyer's liability shall be limited to direct damages not to exceed the purchase price of the affected goods.

Termination for Default: Buyer may terminate this Purchase Order in whole or in part for Vendor's default if Vendor fails to deliver within the time specified or fails to perform any provision of this Purchase Order. Buyer may require that Vendor deliver all work in progress and transfer title to Buyer.

Changes: No change to this Purchase Order shall be binding unless made in writing and signed by an authorized representative of Buyer. Verbal instructions shall not be binding.

Taxes & Duties: Unless otherwise stated, prices are exclusive of taxes. Vendor is responsible for all taxes, duties, and assessments levied on Vendor in connection with the production, sale, or delivery of the goods.

Governing Law & Dispute Resolution: This Purchase Order shall be governed by the laws of the jurisdiction specified in this agreement. Parties shall attempt to resolve disputes in good faith; if unresolved, disputes shall be submitted to binding arbitration as provided in the applicable law.
