VENDOR REQUEST AGREEMENT

RECITALS

This Vendor Request Agreement ("Agreement") is made and entered into as of by and between Vendor Name: and Requester Name: .

WHEREAS, Requester seeks to procure goods and/or services from Vendor pursuant to request and specification documents described herein; and

WHEREAS, Vendor represents that it possesses the qualifications, experience, and resources required to furnish the requested goods and/or services in accordance with the terms of this Agreement.

SCOPE OF WORK

The Vendor shall perform the work described above in a professional manner and shall furnish all labor, materials, equipment, supervision, and incidentals necessary to complete the work in accordance with industry standards and any specifications provided by Requester.

PAYMENT TERMS

Late payments shall incur a late fee of on any undisputed balance remaining more than days past the due date. Vendor shall submit invoices to Requester in accordance with the Payment Schedule and shall provide reasonable documentation to support amounts invoiced.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party to the other in connection with this Agreement, whether marked confidential or not, including pricing, technical data, business plans, and customer information. The receiving party shall (a) hold Confidential Information in strict confidence, (b) use it solely to perform obligations under this Agreement, and (c) not disclose it to any third party except to employees, contractors, or professional advisors having a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years, except with respect to trade secrets, for which obligations shall continue for as long as the information remains a trade secret under applicable law. Confidential Information shall not include information that (i) is or becomes publicly known without breach, (ii) is rightfully received from a third party without obligation of confidentiality, or (iii) is independently developed without use of Confidential Information.

INSURANCE, INDEMNITY AND COMPLIANCE

Vendor shall maintain, at its expense, insurance coverage appropriate to the services provided, including commercial general liability and, where applicable, professional liability and workers' compensation. Vendor agrees to defend, indemnify, and hold harmless Requester and its officers, directors, agents, and employees from and against all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Vendor's performance, negligence, willful misconduct, or breach of this Agreement.

Vendor represents and warrants that it will comply with all applicable federal, state, and local laws, regulations, and ordinances in performing under this Agreement and will obtain and maintain all required licenses and permits.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any action arising under this Agreement shall be in the state or federal courts located in the governing jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any attached request forms, schedules, and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.
