Vendor shall indemnify, defend and hold harmless Company and its officers, directors and employees from and against any claims, losses, liabilities or expenses arising out of Vendor's performance or breach of this Request Form, except to the extent caused by Company's gross negligence or willful misconduct.

Governing Law & Entire Agreement
