What a Vendor Resolution Agreement Is and When It Applies

A Vendor Resolution Agreement is a written contract that documents negotiated terms resolving a dispute, claim, or performance issue between a buyer and a vendor. It typically records agreed remedies, payment schedules, releases of claims, and any revised deliverables or timelines. The agreement creates an enforceable obligation when signed by authorized parties and preserved as a reproducible record; electronic signatures are accepted under federal law (15 U.S.C. §7001) and most state UETA statutes, subject to statutory exceptions. Use the agreement to close disputes, avoid litigation, or document corrective plans for contract performance.

Why a Clear Vendor Resolution Agreement Matters

A concise, well-structured Vendor Resolution Agreement reduces ambiguity, preserves evidence of settlement terms, limits future disputes, and documents remedies, timelines, and responsibilities in a single enforceable record.

Why a Clear Vendor Resolution Agreement Matters

Who Typically Prepares and Signs This Agreement

The Vendor Resolution Agreement is used by procurement, legal, contract managers, and vendor representatives to settle performance disputes or renegotiate terms.

  • Procurement Manager — Drafts settlement terms and coordinates payment or remediation schedules with internal stakeholders.
  • Vendor Account Executive — Agrees to performance fixes, timelines, and any financial adjustments on behalf of the vendor.
  • Legal or Contracts Counsel — Reviews release language, limiting future claims and ensuring enforceable release and confidentiality clauses.

Parties should ensure signatory authority and internal approvals are documented before execution to prevent later challenges to enforceability.

Step-by-step: Completing the Vendor Resolution Agreement

Follow a consistent sequence to document the dispute, record agreed remedies, confirm signatories, and finalize execution and distribution.

  • 01
Document dispute: Summarize the issue, dates, and affected contract sections.
  • 02
Record remedies: List corrective actions, payment credits, or deadlines.
  • 03
Confirm authority: Ensure signers have delegated signatory power.
  • 04
Execute and distribute: Sign, date, and circulate copies to stakeholders.

Core clauses to include in a professional Vendor Resolution Agreement

Include standardized clauses to control scope, liability, confidentiality, payments, release language, and dispute escalation to create a complete and enforceable settlement.

Scope

Precise description of the defect, deliverables corrected, and services modified under the resolution.

Payment Terms

Exact amounts, credit mechanics, timing, and invoice references for any monetary adjustments.

Release of Claims

Mutual or one-way release language specifying which claims are extinguished by the agreement.

Warranties

Any extended warranties, cure periods, or disclaimers tied to the remediation.

Confidentiality

Limits on disclosure of the settlement and handling of proprietary information.

Remedies and Remedies Cap

Defined remedies for future breaches and any agreed limitation of liability or cap.

Security and compliance considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
HIPAA: HIPAA-compliant workflows with BAA available
SOC 2: SOC 2 Type II report available on request
ISO: ISO 27001 certification
PCI: PCI DSS safeguards for payment data
Accessibility: WCAG 2.0 Level AA compliance

Common legal and financial risks if the agreement is incorrect

Unclear release: May permit future litigation
Mismatched parties: Errors can render the agreement void
Missing authority: Signatures without delegated power risk challenge
Tax reporting: Incorrect payment descriptions can trigger IRS issues
I-9 errors: Related employment remediation may incur fines
Late filing: Missing deadlines can increase exposure

Preparation pitfalls to avoid

  • Using informal language that leaves responsibilities vague, which increases interpretation disputes and enforcement difficulty.
  • Failing to attach referenced invoices, exhibits, or change orders so the settlement lacks supporting evidence for payment adjustments.
  • Overbroad release clauses that unintentionally waive unrelated claims, or conversely, releases that are too narrow to resolve the dispute.
  • Allowing signers without documented corporate authorization to sign, creating risk that a counterparty later disclaims authority.

Typical execution and routing workflow

A reliable workflow reduces execution time: prepare, route for review, authenticate signers, complete signatures, then archive and notify stakeholders.

  • Prepare document: Upload template, add fields and exhibits.
  • Route for review: Internal legal and procurement review, then vendor review.
  • Authenticate: Use email, SMS code, or stronger methods as required.
  • Finalize: Sign, date, and distribute final signed copies.

Recommended digital workflow settings

Configure roles, authentication, and notifications to match internal approval gates and recordkeeping rules.

Field Configuration
Signature Field Set signer order and required fields per party
Authentication Choose email, SMS, or KBA based on risk
Conditional Fields Reveal remedial actions only when required
Notifications Set reminders and completion alerts for stakeholders

Technical considerations for eSigning and storage

Ensure your eSignature platform supports required authentication, auditing, and the file formats you need.

  • Integrations: Salesforce, NetSuite, Google Workspace supported
  • File formats: Accepts PDF, DOCX, and Excel formats
  • Audit trail: Maintains timestamp, IP, and action log
