Recitals

WHEREAS, Client seeks to procure goods and/or services and requires objective, documented criteria to evaluate prospective vendors and to govern the engagement terms; and

WHEREAS, Vendor represents that it possesses the experience, financial capacity, technical capability and compliance systems necessary to deliver the services described herein; and

WHEREAS, the parties desire to establish the criteria by which Vendor will be evaluated, the scope of work to be performed if selected, payment terms, confidentiality obligations, and other material terms.

Either party may terminate for convenience upon days' prior written notice. Immediate termination for cause is permitted where the other party materially breaches a material obligation and fails to cure within days of written notice.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other. "Confidential Information" means non-public business, technical, pricing, customer, or other proprietary information disclosed in any form. The receiving party shall:

(a) use Confidential Information solely for the purpose of performance under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to its employees, agents, or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein.

Confidentiality obligations survive termination for a period of years.

Vendor acknowledges receipt of and obligation to protect Confidential Information and agrees to apply the confidentiality obligations set forth above.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws.

Entire Agreement

This document, together with any attachments and referenced appendices, constitutes the entire agreement between Client Name and Vendor Name with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. No modification shall be effective unless in writing and signed by both parties.

Representations and Certifications

Vendor certifies that to the best of its knowledge the information provided in its proposal is true, that Vendor is not debarred or suspended from contracting with government entities, and that all material licenses and permits required to perform the Scope of Work are valid and in effect.

Vendor represents and warrants the foregoing certifications are true and correct.
