What a Vendor Services Addendum Is and When It Applies

A Vendor Services Addendum is a supplemental contract attached to a master services agreement or purchase order that defines vendor-specific terms for a particular engagement. It typically clarifies scope of work, service levels, pricing, data handling, insurance and compliance obligations that apply to the vendor for a discrete project or time period. Organizations use an addendum to avoid redrafting the master contract while capturing transaction-specific details, exhibits, or regulatory requirements that modify the baseline relationship for a single vendor or engagement.

Why Use a Vendor Services Addendum

A Vendor Services Addendum narrows scope and allocates risk for a particular engagement, making responsibilities, payment terms, deliverables, compliance and termination conditions explicit. Clear addenda reduce disputes, streamline procurement approvals, and document vendor obligations for audits and regulatory review.

Why Use a Vendor Services Addendum

Who Typically Prepares and Signs This Addendum

Procurement, contracts, and vendor management teams usually draft or request the addendum when onboarding or changing terms for a supplier.

  • Procurement and sourcing teams — Draft terms, confirm insurance, and track renewal or renewal notice deadlines.
  • Legal and contracts counsel — Review liability, indemnity, IP, and governing law provisions for enforceability.
  • Vendor signatory representatives — Provide authority to bind the vendor and confirm operational details such as SLAs and contact points.

Legal, finance, and operational owners should review the document before execution to confirm compliance, billing, and performance requirements.

Common Signatory Roles

Procurement Manager

A procurement manager oversees vendor selection, negotiates commercial terms, and signs addenda within delegated authority. They ensure that the addendum matches purchase orders, budget approvals, and internal vendor risk assessments before execution.

Vendor Authorized Signer

An authorized signer from the vendor certifies that the company accepts the addendum terms and will meet obligations. Their signature must match corporate records to avoid TIN or authority disputes and to enable payment processing.

Core Sections to Include in a Professional Addendum

A complete Vendor Services Addendum covers the engagement specifics, financial terms, performance expectations, and compliance requirements tailored to the vendor and project.

Scope of Services

Precise description of deliverables, milestones, acceptance criteria, and any excluded services so both parties share a clear operational baseline for the engagement.

Payment Terms

Specify fees, invoicing schedule, currency, late-payment interest, expense reimbursement rules, and any retainers or milestone payments tied to acceptance.

Service Levels

Define measurable SLAs, remedies for missed targets, uptime targets, response and resolution windows, and escalation paths for operational issues.

Security & Compliance

List data handling obligations, required certifications, encryption and access controls, breach notification timing, and any required Business Associate Agreement for HIPAA.

Confidentiality

Nondisclosure terms, permitted disclosures, duration of confidentiality obligations, and how permitted disclosures are documented or consented to.

Termination & Liability

Conditions for termination, transition assistance, limitations of liability, indemnities, insurance minimums, and dispute-resolution mechanism.

  • Leaving scope vague or referring only to an external SOW without attaching it, leading to acceptance disputes.
  • Omitting required compliance clauses for regulated data (for example, HIPAA language when PHI is involved).
  • Failing to confirm the signatory's authority or expiration date of insurance, causing enforceability or coverage gaps.
