WHEREAS, the Event Organizer (the entity managing the Event) evaluates and approves vendor applications and issues stall assignments subject to compliance with the Event rules, applicable laws, and insurance and permit requirements set forth in this application.

NOW, THEREFORE, the Applicant submits this application and certifies under penalty of perjury that the information provided herein is true and accurate and agrees to abide by the terms and conditions set forth below.

The Event Organizer may terminate stall privileges for failure to comply with Event rules, local laws, or these terms. Termination may result in immediate removal without refund where public safety or permit violations exist.

Confidentiality, Indemnity & Liability

Confidential Information disclosed between the parties in connection with this application shall be held in confidence and shall not be used for any purpose other than evaluation and administration of the stall assignment, except as required by law.

Applicant agrees to indemnify, defend and hold harmless the Event Organizer, its agents and employees from any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of Applicant's activities at the Event, including but not limited to injury, property damage, food-borne illness, and violations of law or permit conditions.

Applicant acknowledges that the Event Organizer's liability, if any, is limited to direct damages and in no event shall the Event Organizer be liable for special, incidental or consequential damages.

Governing Law & Entire Agreement

This application and any stall assignment issued pursuant to it shall be governed by the laws of the state in which the Event is held. Any dispute arising under or relating to this application shall be brought in the courts of that jurisdiction.

This application, together with any vendor rules, written stall assignment and payment receipt constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and understandings.
