VENUE EVENT RENTAL AGREEMENT

Recitals

WHEREAS, Venue Operator operates the premises located at the address above and is willing to grant temporary use of the premises under the terms and conditions set forth in this Agreement; and

WHEREAS, Renter desires to rent the premises for the purpose of conducting an event described herein and agrees to comply with all rules, regulations and the conditions set forth in this Agreement.

WHEREAS, the parties intend that this Agreement memorialize their respective rights and obligations with respect to the rental, payment, insurance, indemnity and other operational matters during the rental period.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Termination prior to the balance due date shall not relieve Renter of obligation to pay amounts due for services rendered and costs incurred.

Insurance and Indemnity

Renter shall, at its sole expense, procure and maintain commercial general liability insurance with limits not less than per occurrence, naming Venue Operator as an additional insured and providing certificates of insurance no later than .

Renter shall indemnify, defend and hold harmless Venue Operator and its affiliates, officers and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Renter's use of the premises, except to the extent caused by Venue Operator's gross negligence or willful misconduct.

Venue Rules and Operational Requirements

Renter and its guests shall comply with all applicable laws, venue policies and safety requirements. Renter is responsible for damage to the premises beyond normal wear and tear and shall reimburse Venue Operator for repair and replacement costs.

Alcohol Service Permitted:   If checked, Renter is responsible for securing and paying for licensed alcohol service and any required permits and insurance.

Security Required:   If checked, Renter must arrange for security personnel as specified by Venue Operator and pay associated costs.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any proprietary or confidential business information disclosed by the other party in connection with this Agreement, except as required by law or as necessary to perform obligations under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

This Agreement, together with any attachments, schedules and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral.
