VENUE HIRE AGREEMENT

This Venue Hire Agreement (the Agreement) is made as of between Venue Owner: of (Owner) and Hirer: of (Hirer).

Recitals

WHEREAS, Owner operates and controls the premises known as located at (Venue); and

WHEREAS, Hirer wishes to hire the Venue for the purpose of holding the event described as on the date(s) and times set forth below; and

WHEREAS, Owner is willing to grant Hirer a temporary licence to use the Venue subject to the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

In this Agreement, unless the context otherwise requires: "Venue" means the areas described in Section 2; "Hire Period" means the time period during which Hirer is permitted access under Section 3; "Fees" means amounts payable by Hirer under Section 4.

4. Permitted Use and Restrictions

7. Cancellation and Postponement

If Hirer cancels more than days prior to the Event Date, the deposit will be retained and any balance refunded in accordance with Owner policy. Cancellation within days may result in forfeiture of all Fees. Postponement may be permitted at Owner's discretion and may be subject to additional fees.

Hirer shall maintain, at its own expense, comprehensive public liability insurance with limits not less than per occurrence, naming Owner as an additional insured where required. Insurance provider: Policy number: .

9. Indemnity and Liability

Hirer shall indemnify, defend and hold harmless Owner, its officers, employees and agents from and against all claims, liabilities, losses, damages and expenses (including reasonable legal fees) arising out of Hirer's use of the Venue, except to the extent such claims arise from Owner's gross negligence or wilful misconduct. Owner's liability to Hirer for any cause related to this Agreement shall be limited to the total Fees paid by Hirer.

10. Compliance with Law; Licenses

Hirer shall comply with all applicable laws, ordinances and regulations and obtain any licences or approvals required for the Event. Hirer shall be responsible for all fines, penalties or liabilities resulting from noncompliance.

11. Damage and Repairs

Hirer shall report any damage or defects discovered during the Hire Period. Hirer shall be responsible for repair or replacement costs for damage caused by Hirer or Hirer's guests beyond reasonable wear and tear.

12. Force Majeure

Neither party shall be liable for failure to perform due to events beyond its reasonable control, including but not limited to acts of God, government action, strikes, or severe weather. Where an Event is cancelled for such reasons, the parties will negotiate in good faith a fair allocation of payments and refunds.

13. Termination

Owner may terminate this Agreement and refuse entry or require immediate vacation of the Venue if Hirer breaches a material term, creates a safety hazard, or engages in unlawful conduct. Termination shall not affect Owner's right to retain Fees or seek damages.

14. Notices

Notices shall be in writing and deemed given when delivered personally, by registered post, or by confirmed delivery to the addresses set out above or such other address as either party notifies in writing.

15. Amendments and Waiver

No amendment to this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to enforce any provision shall not be construed as a waiver of that provision.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Venue is located. The parties submit to the non-exclusive jurisdiction of the courts of that jurisdiction.

17. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions, negotiations and understandings.

18. Severability and Counterparts

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.
