VENUE RENTAL CONTRACT

This Venue Rental Contract (the "Agreement") is entered into as of by and between Client Name: ("Renter") and Venue Operator Name: ("Owner").

RECITALS

WHEREAS, Owner is the lawful owner or authorized manager of the venue commonly known as located at (the "Premises");

WHEREAS, Renter desires to rent the Premises for the purpose of presenting a private event described as on with an anticipated attendance of persons;

WHEREAS, Owner is willing to rent the Premises to Renter subject to the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

4. SECURITY DEPOSIT AND DAMAGE

The security deposit shall secure performance of Renter's obligations and payment for damage beyond ordinary wear and tear. Owner shall return the security deposit, less lawful deductions, within days after the end of the Term, together with an itemized statement of deductions. Renter shall be responsible for the cost of repair or replacement of Premises or Owner property damaged by Renter, its guests, invitees, or contractors.

5. INSURANCE AND INDEMNITY

Renter shall procure and maintain, at its sole cost and expense, commercial general liability insurance naming Owner as an additional insured with limits of not less than . Prior to access to the Premises, Renter shall deliver to Owner certificates evidencing such insurance and any required endorsements. Renter hereby agrees to indemnify, defend and hold harmless Owner and its officers, agents and employees from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of Renter's use of the Premises, except to the extent caused by Owner's gross negligence or willful misconduct.

6. USE, RESTRICTIONS, AND COMPLIANCE

Renter shall use the Premises only for the purposes stated in this Agreement and shall comply with all applicable laws, ordinances, and codes. Renter shall obtain all necessary permits, licenses, and approvals for the Event, including but not limited to permits for amplified sound and alcohol service if applicable. No portion of the Premises shall be altered without Owner's prior written consent. Renter shall not assign this Agreement or sublet the Premises without Owner's prior written consent, which shall not be unreasonably withheld.

7. CANCELLATION; FORCE MAJEURE

Renter may cancel this Agreement by providing written notice to Owner at least days prior to the Event. If Renter cancels within the cancellation period set forth above, Renter shall forfeit the security deposit; additional cancellation fees may apply as set by Owner. Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, governmental action, epidemic, or strikes; provided, however, the non-performing party shall provide prompt written notice of such event and shall use commercially reasonable efforts to mitigate effects.

8. STAFFING, SERVICES, AND CLEANING

Renter is responsible for providing or contracting for necessary event staffing (security, ushers, bartenders) as required by law or Owner policy. Owner may require Owner-approved staff at Renter's expense. Renter shall leave the Premises in broom-clean condition. If additional cleaning or repairs are necessary after the Event, Owner may deduct reasonable charges from the security deposit or invoice Renter for additional amounts.

9. DEFAULT AND REMEDIES

The occurrence of any of the following shall constitute an Event of Default by Renter: (a) failure to pay any amount when due; (b) failure to perform any material obligation under this Agreement that is not cured within ten (10) days after written notice; or (c) bankruptcy or assignment for the benefit of creditors. Upon default, Owner may pursue all remedies available at law or in equity, including termination of this Agreement, retention of the security deposit, and recovery of damages and attorneys' fees.

10. NOTICES

All notices, requests, consents and other communications required or permitted hereunder shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail, or nationally recognized overnight courier, and shall be deemed given upon receipt.

11. ASSIGNMENT

Renter shall not assign or transfer its rights or obligations under this Agreement without Owner's prior written consent, which may be withheld in Owner's reasonable discretion. Any attempted assignment without such consent shall be void.

12. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by both parties. No waiver by either party of any breach shall be deemed a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties agree that any legal action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in the county in which the Premises are located.

14. ENTIRE AGREEMENT

This Agreement, including any schedules or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to give effect to the intent of the parties as reflected herein to the fullest extent permitted by law.

16. MISCELLANEOUS PROVISIONS

Any provision of this Agreement that contemplates performance after termination or expiration of this Agreement shall survive such termination or expiration. The headings in this Agreement are for convenience only and shall not affect its interpretation.
