Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in connection with this Agreement. The recipient shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, agents and permitted subcontractors who need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) employ reasonable safeguards to prevent unauthorized use or disclosure. Confidential Information shall not include information that is or becomes publicly known through no breach by the recipient.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents and warrants that it has authority to enter into this Agreement. The Verifier represents that verification services will be performed in a competent and professional manner consistent with applicable standards. The Client shall indemnify and hold harmless the Verifier from claims arising from reliance on false or misleading information knowingly provided by the Client.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of: , without regard to its choice-of-law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or written scopes attached and agreed in writing by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior discussions, representations, and agreements, whether written or oral.
