Recitals

This Verification Label Template Agreement (the "Agreement") is entered into as of by and between Client Name: with principal address , and Provider Name: with principal address .

WHEREAS, Client requires standardized verification labels for identification, inspection and traceability of specified goods or packaging; and

WHEREAS, Provider has expertise and capacity to design, produce and supply verification labels in accordance with the specifications and acceptance criteria set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Provider shall design, produce and deliver verification labels in accordance with the following template specifications, production tolerances and acceptance criteria. Provider shall perform all services in a professional manner and in conformance with the specifications set forth below and any attachments incorporated by reference.

Client shall pay Provider as follows. All sums are due in the currency specified below and subject to the payment schedule.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Upon termination, Provider shall deliver all completed labels and work-in-progress to Client and Client shall pay Provider for work performed up to the effective date of termination in accordance with the Payment Terms.

Confidentiality

Each party shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" includes technical specifications, label templates, verification code algorithms, production methods, pricing and business terms. Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement, or that is lawfully received from a third party without restriction.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law. Venue for any action arising out of this Agreement shall be the state or federal courts located within that state.

Entire Agreement

This Agreement, including the label specifications and acceptance criteria contained herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Compliance and Acceptance

Provider shall comply with all applicable laws, regulations and industry standards relevant to label production. Client shall perform acceptance testing in accordance with the Acceptance Criteria set forth above. Rejection of non-conforming labels shall be handled according to the remediation procedures agreed in the Acceptance Criteria.
