PAYMENT TERMS

Invoices shall be due within days of receipt. Late payments shall accrue a late fee of % per month, subject to a minimum late charge of . All amounts are stated in the currency agreed by the parties.

TERM AND TERMINATION

This Verification Schedule shall commence on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon providing written notice not less than days to the other party. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following written notice of such breach. Upon termination, Service Provider shall deliver all Verification Reports and any work-in-progress and shall invoice Client for services performed through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") agrees to hold in strict confidence all non-public information disclosed by the other party (the "Disclosing Party") in connection with the verification activities. Confidential Information shall include, without limitation, business records, technical data, methodologies, and any information marked or otherwise reasonably understood to be confidential.

The Receiving Party shall not use Confidential Information except for the performance of obligations under this Verification Schedule and shall not disclose such information to any third party except to its employees or permitted subcontractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as contained herein. Confidential obligations shall survive termination for a period of years, except as otherwise required by law.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality obligations, neither party shall be liable to the other for indirect, incidental, consequential, or punitive damages. The aggregate liability of each party for claims arising out of or related to this Verification Schedule shall be limited to the total fees paid to Service Provider under this Verification Schedule during the twelve (12) month period preceding the claim.

GOVERNING LAW

This Verification Schedule shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Verification Schedule, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to verification services and supersedes all prior and contemporaneous understandings, proposals or agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
