What the Vessel & Trailer Purchase Agreement Covers

A Vessel & Trailer Purchase Agreement is a written contract that records the sale of a boat, personal watercraft, and any tow trailer between a buyer and seller. It documents the parties, the vessel and trailer descriptions (make, model, hull and VIN numbers), sale price, payment terms, delivery conditions, title transfer steps, and any warranties or disclosures required by law or by the seller.

Why a Written Agreement Matters for Vessel and Trailer Sales

A clear, signed agreement reduces title disputes, clarifies who bears risk during delivery, establishes payment and lien expectations, and records any warranties or defects. It creates an evidentiary record for DMV/title transfer, insurance, and tax reporting needs.

Why a Written Agreement Matters for Vessel and Trailer Sales

Who Typically Uses This Agreement

Use the agreement whenever ownership, lien status, value, or delivery terms must be recorded in writing to support registration, insurance, or tax reporting.

  • Private sellers transferring recreational boats to individual buyers for personal use.
  • Dealers and brokers documenting retail or consignment sales and trade-ins.
  • Lenders and lienholders protecting security interests during payoff or refinance.

Core Elements to Include in a Professional Agreement

A complete Vessel & Trailer Purchase Agreement should balance clarity and enforceability: concise identification, precise description of property, payment structure, title provisions, representations, and post-sale obligations.

Parties

Identify buyer and seller by full legal name, business entity type (if any), and mailing address; include contact information for registration and tax purposes.

Property Details

List vessel make, model, year, hull ID (HIN), engine serials, trailer VIN, registration numbers, and any included equipment or accessories.

Purchase Terms

State the total purchase price, deposit amount, payment method, due dates, and conditional financing or escrow instructions if applicable.

Title and Transfer

Specify seller obligations to provide clear title, deliver signed title documents, complete odometer or HIN disclosure, and timeline for DMV or state agency transfer.

Warranties & Disclosures

Include express warranties, 'as-is' language if used, and required state disclosures about salvage, flood damage, or liens.

Risk Allocation

Allocate risk of loss, specify delivery location and acceptance procedures, and set remedies for breach, including indemnities and inspection rights.

Common Mistakes to Avoid When Preparing the Agreement

  • Failing to include HIN or trailer VIN, which delays registration and can void the sale record.
  • Not verifying lien status—unsatisfied liens may transfer to the buyer and create title disputes.
  • Using ambiguous payment language such as 'balance due on delivery' without specifying method or escrow protections.
  • Skipping required disclosures about salvage history, flood damage, or major repairs that some states mandate.

Potential Consequences of Inaccurate or Missing Information

Title Rejection: DMV delays
Tax Liability: Buyer or seller exposure
Liens Filed: Unresolved creditor claims
Insurance Denial: Claims refused
Civil Disputes: Breach litigation
Criminal Risk: Fraud allegations
