VIDEO CONTENT AGREEMENT

This Video Content Agreement ("Agreement") is made and entered into as of by and between:

RECITALS

WHEREAS, Client desires to engage Producer to create, produce and deliver certain video content described below for the purpose specified in this Agreement (the "Project"); and

WHEREAS, Producer has the professional expertise, equipment and personnel necessary to produce the Project and is willing to perform such services under the terms and conditions set forth herein; and

WHEREAS, the parties agree to set forth the scope, deliverables, compensation and other terms that will govern their relationship with respect to the Project.

SCOPE OF WORK

Producer will provide the services and deliverables described in this section. Producer shall perform the services as an independent contractor and shall supply all labor, materials, equipment and technical expertise necessary to complete the Project in a professional manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Producer for the services and deliverables in accordance with the schedule and amounts set forth below. All payments are net of applicable taxes unless otherwise agreed in writing.

Late payments shall accrue interest as provided below and Client shall be responsible for all reasonable collection costs.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Upon termination, Client will pay Producer for all work performed and approved deliverables completed through the effective date of termination. Producer shall deliver to Client any completed deliverables and any work in progress for which Client has paid.

CONFIDENTIALITY

Each party acknowledges that in the course of performing this Agreement it may receive confidential information of the other party. "Confidential Information" includes business plans, creative concepts, scripts, raw footage, proprietary techniques, pricing and any non-public information disclosed in connection with the Project. Each party agrees to hold Confidential Information in strict confidence and not to disclose it to any third party except as required to perform under this Agreement or as required by law.

The obligations in this section do not apply to information that is (a) already publicly known through no fault of the receiving party, (b) rightfully received from a third party without restriction, or (c) independently developed by the receiving party without use of the disclosing party's Confidential Information.

INTELLECTUAL PROPERTY AND LICENSE

Producer retains copyright in raw footage and underlying materials except as otherwise expressly assigned in writing. Upon full payment of all fees due under this Agreement, Producer grants Client a non-exclusive, worldwide, transferable license to use the final delivered video(s) for the purposes specified in this Agreement. Any additional uses, sublicensing or assignment of rights beyond the agreed uses require separate written license or fee.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of or relating to the indemnifying party's breach of this Agreement, negligence or willful misconduct. Producer specifically represents that to the best of its knowledge the work will not infringe third-party intellectual property rights, and Producer will obtain any required releases for talent, locations or third-party materials used in the Project.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Relationship of Parties: The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture or employment relationship. Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Client may assign this Agreement in connection with a merger or sale of substantially all of its assets. Notices: Notices shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.
