VIDEO CONTENT RELEASE AGREEMENT

WHEREAS

WHEREAS, Producer Name: , having its principal place of business at , is engaged in the production, distribution and exploitation of audiovisual content; and

WHEREAS, Contributor Name: , residing at , agrees to provide services and/or appear on camera in connection with the Project described below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Contributor hereby grants to Producer and its licensees, successors and assigns an exclusive (or non-exclusive — check as applicable below) license to record, reproduce, edit, distribute, display, transmit and otherwise use Contributor's name, likeness, image, voice, performance and biographical information as embodied in the audiovisual recordings created in connection with the Project (collectively, the "Recordings").

Any undisputed payment not made within days of its due date shall accrue interest at the lesser of the legal maximum or per month.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Termination shall not relieve Producer of any payment obligations for services already rendered nor relieve Contributor of obligations that survive termination.

6. Confidentiality

Contributor acknowledges that Producer may disclose confidential information to Contributor in connection with the Project. Contributor agrees to hold all non-public information in strict confidence and not to disclose or use such information except as necessary to perform the obligations under this Agreement. This confidentiality obligation shall survive termination of this Agreement for a period of three (3) years.

7. Waiver of Moral Rights; Releases

Contributor hereby irrevocably waives any moral rights, rights of attribution and integrity, and any right to inspect or approve the Recordings or any finished product. Contributor releases Producer, its licensees and assigns from any and all claims related to the use of the Recordings, including claims for invasion of privacy, defamation and violation of publicity rights, to the extent permitted by law.

8. Representations, Warranties and Indemnity

Contributor represents and warrants that Contributor has full legal capacity and authority to enter into this Agreement and to grant the rights herein, that Contributor's performance will not violate any agreement with any third party, and that there are no outstanding claims, liens or encumbrances relating to Contributor's rights in the Recordings. Contributor shall indemnify and hold harmless Producer from and against any and all claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of any breach of the foregoing representations and warranties.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

10. Entire Agreement; Amendments

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

11. Miscellaneous

If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach, and that Producer shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
