What a Video Delivery Agreement Covers

A Video Delivery Agreement is a written contract that documents the transfer, delivery schedule, acceptance criteria, and rights associated with produced video assets. It defines the parties, scope of deliverables (final edit, masters, file formats), delivery method (physical media, secure download, or streaming link), payment or consideration, and post-delivery obligations such as revisions, archiving, and ownership transfer. The agreement reduces ambiguity about timelines, technical requirements, and intellectual property, and it can integrate electronic signature and delivery processes to streamline execution while preserving an audit trail.

Why a Formal Video Delivery Agreement Matters

A clear agreement allocates responsibility, protects intellectual property, and sets objective acceptance tests so disputes over quality or scope are easier to resolve. It preserves evidence of delivery and acceptance and supports compliance with client or regulatory requirements.

Why a Formal Video Delivery Agreement Matters

Typical Parties and Roles for This Agreement

Common signers include the video producer or production company and the client or licensee; additional signers may include distributors or rights holders.

  • Production companies and freelancers delivering video assets under contract for commercial or promotional use.
  • Marketing and creative agencies coordinating delivery, acceptance, and handoff to clients or media channels.
  • In-house content teams and corporate legal departments managing rights, clearances, and archiving obligations.

Identifying the correct signer and role reduces execution delays and ensures the person signing has authority to transfer rights or accept deliverables.

Core Elements to Include in a Professional Video Delivery Agreement

A complete agreement addresses parties, deliverables, formats, acceptance, IP assignment, compensation, timeline, warranties, and liability allocation.

Parties

Full legal names and business entities for all contracting parties, including contact and billing details; identify the signing authority for each party.

Deliverables

Detailed list of deliverables (master files, transcodes, closed captions, thumbnails), file formats, resolutions, codecs, and checksum or quality criteria for acceptance.

Delivery Method

Specify delivery channel (secure download, SFTP, cloud link, physical drive), access credentials, and any encryption or transfer verification required.

Acceptance Criteria

Objective standards and timeframes for client review, request for revisions, criteria for deemed acceptance, and escalation procedures for disputes.

Payment & Consideration

Describe payment amounts, milestones, invoicing schedule, holdback for revisions, and any royalty or licensing fee provisions if applicable.

Intellectual Property

State ownership transfer or license scope, moral rights waivers if needed, and any retained rights or future use limitations.

Step-by-Step: Fill, Send, and Execute the Agreement

Follow these steps to prepare and finalize a Video Delivery Agreement efficiently.

  • 01
Prepare: Populate parties, deliverables, dates, and payment terms.
  • 02
Attach Files: Include checksums or sample frames and specify technical specs.
  • 03
Set Review Window: Define client review period and revision rounds.
  • 04
Sign: Send for signatures and capture audit trail.

Configuring an Online Signing Workflow

Set up signer order, authentication, and retention rules for reliable electronic execution.

Field Configuration
Signature Type Click-to-sign or drawn signature
Authentication Email link with optional SMS code
Notifications Automatic reminders and completion alerts
Retention Policy Specify archival period and export format

Where to Send and How Delivery Is Confirmed

Define recipient endpoints and acceptance signaling to complete the delivery lifecycle.

  • Client Inbox: Send signed agreement and delivery links to client's primary contact.
  • Asset Host: Upload masters to agreed secure storage and share access.
  • Acceptance Notice: Client provides written acceptance or raises revision requests within agreed window.
  • Archive: Store final signed agreement and delivered files per retention policy.

Technical and Platform Considerations for eDelivery

Specify supported file formats, integrations, and minimum authentication to ensure successful electronic delivery and execution.

  • File formats: MP4, MOV, ProRes, SRT
  • Integrations: Cloud storage and CMS
  • Authentication: Email or SMS code

Ensuring compatibility up front minimizes transfer failures; document any third-party hosting credentials, access expiration, and fallback delivery methods in the agreement.

Key Deadlines and Typical Timeframes

Common time-sensitive terms to include so both parties understand milestones and response windows.

Delivery Deadline:

Date or number of days after signoff when final assets are due.

Client Review Period:

Typically 5–14 business days for review and requests for revision.

Revision Turnaround:

Specify days allowed per revision round, typically 3–7 business days.

Payment Due:

Net 30, net 45, or milestone-based dates tied to delivery events.

Record Retention:

Specify archival period for final assets and signed agreement.

Milestone Timeline from Agreement to Archive

Sequential stages help teams coordinate production, delivery, review, and long-term storage.

01

Pre-production Signoff

Agreement executed and technical specifications approved before delivery.

02

File Delivery

Producer uploads final deliverables to the agreed host or ships physical media.

03

Review and Acceptance

Client inspects assets and responds within the specified review window.

04

Final Delivery and Archive

Signed acceptance recorded and files archived per retention policy.

Common Preparation Mistakes to Avoid

  • Vague deliverable descriptions that omit resolution, codec, and file-naming conventions lead to acceptance disputes and rework.
  • Failing to specify delivery channel or access credentials often causes missed deadlines and additional transfer costs.
  • Assigning rights without a clear IP clause can unintentionally transfer ownership beyond intended scope.
  • Not matching signer name to legal entity prevents payment processing and can complicate enforcement.

Consequences and Legal Risks of an Incorrect Agreement

Breach Claims: Monetary damages and specific performance
Intellectual Property Risk: Unintended ownership transfer
Late Delivery Penalties: Contractual liquidated damages
Tax Withholding: Incorrect payee info triggers withholding obligations
Privacy Violations: HIPAA exposure fines for protected health content
Enforceability: Improper signature process may weaken enforceability

Practical Tips for Accurate and Efficient Completion

Small drafting and configuration choices reduce rework and disputes during delivery and acceptance.

Standardize deliverable definitions
Use a template checklist that specifies codec, resolution, frame rate, and filename conventions; attach a sample frame or checksum to minimize subjective quality disputes and speed acceptance.
Define acceptance objectively
Set measurable acceptance tests (no visible artifacts, audio sync within defined tolerance), and make the client response window explicit to avoid implied acceptance by silence.
Capture chain of custody
Record upload timestamps, transfer receipts, and checksums; include an audit trail for downloads and access so supply chain and licensing issues can be reconstructed.
Limit broad IP assignments
Prefer limited licenses for specific uses where possible; if transferring ownership, state all rights conveyed and any retained exceptions to prevent unintended exploitation.
