What a Video Game Development Agreement Covers

A Video Game Development Agreement (VGDA) is a contract that defines the working relationship between a game developer and a publisher, client, or commissioning party. It sets out the scope of work, deliverables, milestones, payment terms, intellectual property ownership and licensing, warranties, and dispute-resolution procedures. The agreement also allocates responsibilities for testing, quality assurance, platform certification, and ongoing support. Well-drafted VGDAs reduce ambiguity about who owns code and assets, how royalties or milestone payments are calculated, and the criteria for acceptance and final delivery.

Why a Clear Agreement Matters for Game Projects

A VGDA protects both parties by documenting expectations, timelines, payment triggers, and IP rights in writing. It reduces the risk of costly disputes and supports enforceability.

Why a Clear Agreement Matters for Game Projects

Who Typically Uses a Video Game Development Agreement

Teams and organizations involved in commercial game development rely on VGDAs to manage legal, financial, and creative risk.

  • Independent developers and small studios seeking clear payment and IP terms with publishers or clients.
  • Publishers and platform holders contracting external teams for ports, DLC, or co-development.
  • In-house legal or product teams standardizing developer onboarding and milestone-based payouts.

Choosing the right template and filling it accurately helps avoid disputes and supports later monetization and distribution.

Core Sections Every Professional VGDA Should Include

A comprehensive VGDA groups essential terms into focused sections so responsibilities, timelines, and rights are unambiguous and enforceable.

Parties

Full legal names, business forms, and contact details for the developer and commissioning party, with designation of which entity is the contractor and which is the client.

Scope

Detailed description of the project scope including platforms, feature lists, excluded items, and acceptance criteria to prevent scope creep and disputes.

Deliverables

List of deliverables tied to milestones, format and submission standards, acceptance testing procedures, and criteria for remediation and rework.

Schedule

Milestone dates, delivery windows, and change-order procedures that govern extensions, delay notices, and force majeure events.

Payment

Fixed fees, milestone payments, royalties, revenue share formulas, currency and tax withholding obligations, and invoicing/payment timelines.

IP & License

Assignment or license language for code, art, sound, and trademarks, plus carve-outs for preexisting materials and developer tools.

Step-by-Step: Filling Out and Executing a VGDA

Follow these steps to assemble, review, and sign a Video Game Development Agreement efficiently.

  • 01
Prepare draft: Populate parties, scope, deliverables, and payment terms before review.
  • 02
Attach exhibits: Add schedules, asset lists, and technical specs as separate exhibits.
  • 03
Review legal points: Have counsel verify IP, indemnity, and limitation of liability language.
  • 04
Execute and store: Sign all counterpart pages and retain an executed copy for records.

Common Digital Workflow Settings for VGDA Execution

Set up a consistent e-signing workflow so parties receive the right documents in order, with authentication and reminders in place.

Field Configuration
Upload Source PDF or DOCX; attach exhibits as separate files
Recipient Roles Developer signatory | Client signatory | Legal reviewer
Authentication Email link plus optional SMS code or KBA
Auto-Reminder 3- and 7-day reminders before due date

Typical Online Signing Flow for a Game Development Contract

A streamlined signing flow reduces delays and ensures every action is logged for auditability.

  • Upload: Sender uploads the executed draft and any exhibits.
  • Place fields: Add signature, initial, date, and checkbox fields for each signer.
  • Send to signers: Platform emails signers or provides a secure signing link.
  • Complete and archive: Signed copies and an audit trail are stored automatically.

Technical Considerations for Sharing and Signing

Choose a platform that supports the file formats, integrations, and authentication levels your project requires.

  • File Types: PDF and DOCX supported for contracts and exhibits.
  • Integrations: Connectors for NetSuite, Google Workspace, Salesforce available.
  • Authentication: Options include email, SMS, KBA, or SSO.

Security and Compliance Features to Look For

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Comprehensive timestamps, IPs, and action logs
HIPAA BAA: Available when handling protected health data
21 CFR Part 11: Support for FDA-regulated electronic records
SOC 2: SOC 2 Type II report available
ESIGN / UETA: Compliant with U.S. e-signature laws

Common Risks and Legal Consequences

IP Ownership: Ambiguous assignment can cause costly litigation
Missed Milestones: Triggers delays, penalty clauses, or withheld payments
Tax Withholding: Incorrect payer data may cause backup withholding
Warranty Claims: Unclear warranty periods increase post-delivery cost exposure
Termination Liability: Early termination can create acceleration of fees
Unenforceable Terms: Overbroad indemnities may be unenforceable in court

Common Preparation Mistakes to Avoid

  • Leaving the scope vague by using terms like 'as needed' or 'reasonable' invites disputes over deliverables and acceptance.
  • Failing to attach technical specifications, art lists, or build requirements makes acceptance testing subjective and slow.
  • Omitting a clear IP assignment or license carve-outs leads to future ownership uncertainty for code and assets.
  • Neglecting payment triggers or invoice timelines results in unexpected cashflow interruptions for developers and publishers alike.

Key Dates and Deadlines Typically Included

Define dates and payment schedules clearly; tie acceptance testing windows and remedy periods to specific calendar durations.

Effective Date:

Contract begins on the Effective Date entered in MM/DD/YYYY format.
