VIDEO RECORDING AGREEMENT

This Video Recording Agreement ("Agreement") is entered into as of by and between Producer Name: (hereinafter "Producer") and Participant Name: (hereinafter "Participant"). Producer and Participant are sometimes referred to herein individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Producer develops, produces and distributes audiovisual works and desires to record, produce and exploit certain video and audio recordings featuring Participant (the "Recordings"); and

WHEREAS, Participant has agreed to render performance, appearance, services and/or other contributions for the Recordings on the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties desire to set forth their rights and obligations with respect to the creation, ownership, use and exploitation of the Recordings.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

2.1 Fee. In consideration for Participant's services, Producer shall pay Participant a fee of $ payable pursuant to the payment schedule below.

3. OWNERSHIP; ASSIGNMENT OF RIGHTS

3.1 Work Made for Hire. Participant acknowledges and agrees that the Recordings, and all elements thereof, shall be deemed "works made for hire" for Producer under applicable law, and that Producer shall be the sole and exclusive owner of all right, title and interest, including all copyrights, in and to the Recordings. To the extent any portion of the Recordings is not a "work made for hire," Participant hereby irrevocably assigns, transfers and conveys to Producer all right, title and interest in and to such portions, including all copyrights and renewals and extensions thereof.

3.2 Moral Rights; Further Assurances. Participant waives to the fullest extent permitted by law any moral rights in the Recordings and agrees to execute and deliver such instruments and perform such acts as Producer may reasonably require to secure, maintain and enforce Producer's rights.

4. LICENSE BACK (IF APPLICABLE)

If Producer grants Participant any limited license to use the Recordings, such license shall be non-exclusive, revocable, personal to Participant, non-transferable, and subject to Producer's prior written approval as to territory, term and manner of use. Any permitted use shall contain Producer's copyright notice and credit as reasonably required by Producer.

5. RELEASE AND USE OF LIKENESS

Participant hereby irrevocably authorizes Producer and its licensees, successors and assigns to record Participant's likeness, voice, performance and biographical information and to use, reproduce, distribute, exhibit, publicly perform and otherwise exploit the Recordings and Participant's name, image and likeness in connection with the Recordings in any and all media now known or hereafter devised, worldwide, in perpetuity, without further compensation beyond the fee set forth in Section 2.

6. WARRANTIES AND REPRESENTATIONS

Participant represents and warrants that (a) Participant has full legal capacity to enter into this Agreement and grant the rights herein; (b) Participant's performance will not infringe the rights of any third party; (c) there are no outstanding agreements or obligations inconsistent with the rights granted to Producer; and (d) Participant will comply with reasonable directions of Producer in connection with the Recordings.

7. INDEMNIFICATION

Participant shall indemnify, defend and hold harmless Producer and its agents, employees, licensees and successors from and against any and all claims, demands, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Participant's representations, warranties or obligations under this Agreement or out of Participant's negligent or willful acts or omissions.

8. CONFIDENTIALITY

The Parties acknowledge that information regarding the creative content, production schedules, budgets and other non-public information relating to the Recordings is confidential. Each Party will keep confidential and will not disclose to any third party without prior written consent any such confidential information, except as required by law or for the performance of obligations under this Agreement.

9. INSURANCE; HEALTH AND SAFETY

Participant shall comply with all health and safety rules applicable to the production. Producer may require Participant to provide evidence of appropriate insurance or to be covered under Producer's insurance for the duration of the recording activities.

10. TERM AND TERMINATION

This Agreement shall commence on the Effective Date set forth above and, except as otherwise provided herein, shall continue in perpetuity with respect to Producer's ownership of the Recordings. Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured thirty (30) days after written notice.

11. CREDITS

Producer shall have the right, in its sole discretion, to determine whether and how Participant is credited in connection with the Recordings. If credit is to be given, it shall be as Producer reasonably determines, provided that Participant shall not be credited in a manner that falsely implies authorship.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

13. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be valid unless in writing and signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state specified by Producer's principal place of business without regard to conflict of law principles. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations. If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.

15. MISCELLANEOUS

15.1 Independent Contractor. Participant is an independent contractor and nothing in this Agreement creates an employment, partnership or joint venture relationship. 15.2 Publicity. Neither Party shall issue publicity referring to the other Party's participation in the Recordings without the prior written consent of the other Party, except as required for exploitation by Producer in accordance with this Agreement.
