VIDEOGRAPHER SERVICES AGREEMENT

Recitals

WHEREAS, Client desires to engage Videographer to provide professional videography services in connection with the event(s) and deliverables described below; and

WHEREAS, Videographer represents that it possesses the skill, experience, equipment and personnel necessary to perform such services and agrees to provide the services pursuant to the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

Term and Termination

Either party may terminate this Agreement for convenience by giving written notice at least days prior to the scheduled event. If Client cancels within days of the scheduled shoot, Client shall remain responsible for the full fee unless otherwise agreed in writing. Videographer may terminate immediately for nonpayment or material breach.

Confidentiality

Each party shall maintain in confidence and shall not disclose to any third party any confidential information received from the other party in connection with the services, except as necessary to perform obligations under this Agreement or as required by law. Confidential information does not include information that is or becomes generally available to the public through no breach of this Agreement, or that is independently developed or obtained by the receiving party.

Copyright, License and Usage Rights

Videographer retains all copyright and moral rights in and to the raw footage and final edited works. Upon full payment, Videographer grants Client a non-exclusive, non-transferable license to use the delivered final edit(s) for the following purposes (select all that apply):

Personal use
Internet and social media use
Commercial use (requires written permission and may incur additional fees)
Broadcast / public exhibition (requires written license)

Any uses beyond the license granted above require a separate written agreement and additional compensation. Client shall not claim authorship or copyright in the original works created by Videographer.

Delivery; Acceptance

Client shall have days from receipt to request reasonable revisions. Revisions outside the agreed scope may incur additional charges.

Insurance; Indemnity; Limitation of Liability

Videographer represents that Videographer maintains general liability insurance in an amount customary for the industry and will provide certificate of insurance upon reasonable request. Each party shall indemnify, defend and hold harmless the other from claims arising from its own gross negligence or willful misconduct. Except for liability arising from gross negligence or willful misconduct, Videographer's total liability under this Agreement shall not exceed the total fees paid by Client to Videographer for the services under this Agreement.

Force Majeure

Neither party shall be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, government action, terrorism, epidemics, severe weather, or labor disputes. The affected party shall use reasonable efforts to resume performance as soon as practicable.

Notices

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior agreements, understandings, and negotiations, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Miscellaneous

Assignment: Client may not assign this Agreement without Videographer's prior written consent. Videographer may subcontract portions of the services provided that Videographer remains responsible for performance.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
