VINYL FLOORING INSTALLATION CONTRACT

This Vinyl Flooring Installation Contract (the "Contract") is made and entered into on by and between Client Name: (hereinafter "Client") and Contractor Name: (hereinafter "Contractor").

RECITALS

WHEREAS, Client desires the removal (if required), supply and professional installation of vinyl flooring at the property located at ;

WHEREAS, Contractor represents that it possesses the necessary experience, licenses, personnel and insurance to perform the work described herein in a professional manner consistent with industry standards;

WHEREAS, Client and Contractor desire to set forth their respective rights and obligations with respect to the work to be performed under this Contract.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Contractor shall furnish all labor, materials, tools and equipment necessary to perform the vinyl flooring installation described in this Section and in Exhibit A (Specifications). The work includes, without limitation: site preparation, subfloor inspection and remediation (if required), underlayment installation, installation of vinyl flooring, trim and transitions, and clean-up.

Estimated total installation area: square feet.

2. MATERIALS AND QUALITY

Contractor shall supply materials meeting the specifications set forth in Exhibit A. Materials shall be free of defects and installed in accordance with manufacturer's instructions and recognized industry practices. Contractor provides a workmanship warranty of from the date of substantial completion.

3. CHANGE ORDERS

Any additions, deletions or modifications to the Scope of Work shall be made only by written change order signed by both parties. Change orders shall state the change, the adjustment to the Contract Price and any change to the schedule. Contractor is not required to perform work beyond the Scope of Work absent a signed change order.

4. PAYMENT

Client agrees to pay Contractor the total Contract Price of USD according to the following schedule:

Late payments shall accrue interest at the rate of on unpaid balances, and Client shall be responsible for collection costs and reasonable attorneys' fees incurred by Contractor in enforcing payment.

5. SCHEDULE; COMPLETION

Contractor shall commence work on or about and shall substantially complete the work by , subject to adjustments for unforeseen conditions, change orders, weather, or delays beyond Contractor's control.

6. SITE CONDITIONS AND CLIENT RESPONSIBILITIES

Client shall provide access to the premises, remove personal property and fragile items, and ensure utilities are available. Contractor is not responsible for concealed conditions or subfloor defects discovered during installation; such conditions shall be reported to Client and addressed by change order as required.

Removal of existing flooring: Contractor to remove existing flooring as part of this Contract (if checked). If removal reveals hazardous materials, work will be suspended until proper abatement arrangements are made and costs allocated by change order.

7. WARRANTY; DISCLAIMER OF OTHER WARRANTIES

Contractor warrants workmanship for the period specified in Section 2. Manufacturer warranties for materials shall be passed through to Client to the extent assignable. Except as explicitly stated in this Contract, Contractor disclaims all other warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.

8. INSURANCE AND INDEMNIFICATION

Contractor shall maintain commercial general liability insurance and workers' compensation insurance as required by law. Contractor shall indemnify and hold Client harmless from claims, liabilities, losses and expenses arising from Contractor's negligent acts or omissions, provided that Client gives Contractor prompt written notice of any claim and cooperates in the defense.

9. TERMINATION

Either party may terminate this Contract upon material breach by the other party if the breach remains uncured after seven (7) days' written notice. Upon termination by Client for Contractor's breach, Contractor shall refund any unearned payments less costs for work performed. Upon termination by Contractor for Client's breach, Contractor may retain payments earned and pursue collection for work performed and costs incurred.

10. DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve any dispute through negotiation. If negotiation fails, the parties agree to mediation followed by binding arbitration conducted in accordance with the parties' agreed arbitration rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

11. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below by hand, overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

12. AMENDMENTS; WAIVER; SEVERABILITY; GOVERNING LAW

This Contract may be amended only by a written instrument signed by both parties. No waiver of any breach shall constitute a waiver of any other or subsequent breach. If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Contract shall be governed by and construed in accordance with the laws of the state in which the Project is located.

13. ENTIRE AGREEMENT

This Contract, including any attached exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral.
