CHANGE ORDERS

Any change in scope, materials, or schedule shall be authorized in writing by both parties through a change order specifying impact on price and time for completion. Work commenced without a signed change order that materially modifies scope shall be at risk of non-payment.

CONFIDENTIALITY

Each party shall treat as confidential all proprietary pricing, trade secrets and non-public technical information disclosed by the other party in connection with this Agreement and shall not disclose such information except as required by law. This confidentiality obligation survives termination for a period of two years.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Any action to enforce this Agreement shall be brought in the courts located in that jurisdiction.

This Agreement, including all exhibits and signed change orders, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations and agreements, whether written or oral, relating to the subject matter hereof.
