Either party may terminate this Agreement for cause upon written notice if the other party materially breaches its obligations and fails to cure such breach within days of receipt of notice. Applicant acknowledges that Service Provider's obligations are limited to the performance of the Services described herein and that issuance of any visa is a discretionary act of the issuing authority beyond the control of Service Provider.

Service Provider represents that it will perform the Services with reasonable care and in accordance with applicable professional standards. Service Provider does not guarantee issuance of a visa or any particular outcome.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service Provider is incorporated, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of competent courts in that jurisdiction for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attached schedules and acknowledged supporting documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals or understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
