VISITOR AGREEMENT FORM

This Visitor Agreement (the "Agreement") is entered into as of Effective Date: by and between Host Name: (the "Host") and Visitor Name: (the "Visitor"). Host and Visitor are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Host owns or controls the premises and facilities located at: (the "Premises");

WHEREAS, Visitor seeks access to the Premises for the purpose of: on the date(s): (the "Visit");

WHEREAS, Host is willing to permit limited access to the Premises on the terms and conditions set forth herein.

NOW, THEREFORE

In consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Premises" means the physical location identified above and any adjacent areas under Host's control. 1.2 "Visitor" means the individual identified as Visitor Name and any employees, agents, contractors, or invitees under Visitor's control. 1.3 "Proprietary Information" includes all confidential, technical, business and operational information disclosed or observed during the Visit.

2. ACCESS AND CONDUCT

2.1 Permitted Access. Host grants Visitor a limited, revocable license to enter the Premises solely for the Purpose of Visit subject to compliance with this Agreement and Host's safety and security rules. Visitor acknowledges that access to certain areas may be escorted or restricted.

2.2 Conduct and Compliance. Visitor shall comply with all applicable laws, regulations, and Host policies while on the Premises. Visitor shall not remove, alter, or damage Host property and shall follow instructions of authorized Host personnel. Failure to comply may result in immediate removal and termination of access.

3. IDENTIFICATION, BADGES, AND SECURITY

3.1 Identification. Visitor shall present valid photo identification upon request and shall wear any issued visitor badge or identification at all times while on the Premises. Visitor shall return all badges and temporary credentials at the end of the Visit.

3.2 Searches. Visitor agrees that bags, packages, and vehicles may be subject to inspection while on the Premises and consents to such inspections to the extent permitted by law.

4. CONFIDENTIALITY AND PROPRIETARY INFORMATION

4.1 Non-Disclosure. Visitor shall keep confidential and not disclose to any third party any Proprietary Information accessed or observed on the Premises, except information that is demonstrably in the public domain through no fault of Visitor.

4.2 Return of Materials. Visitor shall return or destroy all physical and electronic materials containing Proprietary Information upon termination of the Visit or upon Host's request.

5. LIABILITY, INSURANCE, AND INDEMNIFICATION

5.1 Assumption of Risk. Visitor assumes all risk of personal injury and property damage arising from the Visit except to the extent caused by Host's gross negligence or willful misconduct.

5.2 Insurance. Visitor represents that, where applicable, Visitor maintains insurance coverage sufficient to cover liabilities that may arise from the Visit and will provide certificates of insurance upon Host's reasonable request.

5.3 Indemnification. Visitor shall indemnify, defend, and hold harmless Host and its affiliates, officers, directors, employees and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Visitor's acts or omissions in connection with the Visit.

6. RESTRICTIONS AND PROHIBITED ACTIONS

6.1 Prohibited Items and Activities. Visitor shall not bring contraband, weapons, hazardous materials, cameras, recording devices, or other restricted items into the Premises except with prior written authorization. Visitor shall not engage in any activity that could damage equipment, jeopardize safety, or interrupt Host operations.

6.2 Photography and Recording. Photographing, audio recording, or video recording of the Premises or Host operations is prohibited except with prior written consent from Host and only as expressly authorized.

7. EMERGENCIES AND MEDICAL CARE

7.1 Emergency Response. Visitor shall immediately notify Host personnel of any accident, injury, or unsafe condition. Visitor consents to receive emergency medical treatment if reasonably necessary and agrees to be responsible for any related costs.

8. TERM AND TERMINATION

8.1 Term. This Agreement commences on the Effective Date and continues until the conclusion of the Visit unless earlier terminated in accordance with this Agreement.

8.2 Termination. Host may, in its sole discretion, deny or terminate Visitor's access at any time for violation of this Agreement or for safety or security concerns. Termination does not relieve Visitor of obligations that by their nature survive termination.

9. NOTICES

Notices shall be in writing and delivered to the addresses set forth above or to such other address as a Party designates by notice in accordance with this section. Notice is effective upon receipt.

10. AMENDMENTS, WAIVER, COUNTERPARTS

10.1 Amendment. This Agreement may be amended only by a written instrument signed by both Parties. 10.2 Waiver. No waiver of any breach shall be effective unless in writing and signed by the waiving Party. 10.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction indicated below without regard to conflict of laws principles.

11.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
