Access Agreement Recitals

WHEREAS, Visitor intends to enter the premises of the Company for the limited purpose set forth under Visit Details; and

WHEREAS, Company wishes to grant Visitor access under specified conditions and subject to Company policies, safety rules, and confidentiality requirements; and

NOW, THEREFORE, in consideration of mutual promises contained herein and for other good and valuable consideration, the parties agree as follows.

Scope of Work / Access Activities

Visitor shall perform or engage only in the activities described below while on Company premises. Visitor shall remain under the supervision of the Host Contact and shall comply with all directions given by authorized Company personnel.

Payment Terms (if applicable)

If any fee is payable by Visitor or Visitor's organization for services or access charges, the parties shall record the agreed amounts and schedule below. Payment obligations are independent of other obligations under this Agreement.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party that remains uncured for the Notice Period. Company may also immediately revoke access for violations of safety, security, or site rules.

Confidentiality

Visitor may receive or observe Confidential Information while on premises. Confidential Information includes non-public business, technical, or operational information. Visitor shall not disclose, use, or retain Confidential Information except as expressly permitted in writing by Company. Upon Company request, Visitor shall promptly return or destroy Confidential Information.

Safety, Liability and Insurance

Visitor shall comply with all safety directives, wear required personal protective equipment, and follow site-specific rules. Visitor accepts responsibility for personal conduct and property. To the extent permitted by law, Visitor releases Company from liability for incidental injuries sustained while complying with Company rules, except where caused by Company gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.
