RECITALS

WHEREAS, Reporting Entity collects and maintains vital statistics information including births, deaths, and marriages and requires periodic compilation and formal reporting of aggregated vital statistics to specified recipients; and

WHEREAS, Contractor has the expertise, personnel, and systems necessary to compile, validate, and prepare formal Vital Statistics Reports in accordance with accepted public health and administrative data practices; and

WHEREAS, the parties desire to set forth the terms under which Contractor will prepare and deliver the Vital Statistics Report described herein;

SCOPE OF WORK

Deliverables shall include: (a) an aggregate Vital Statistics Report for the Report Period; (b) an accompanying summary table of counts by event type and classification; and (c) an electronic data extract and documentation sufficient to substantiate reported counts. Contractor shall perform reasonable validation checks and shall document methods used to reconcile duplicate or inconsistent records.

PAYMENT TERMS

Any payment not received by the Contractor within days of the invoice due date will incur a late fee equal to of the outstanding balance, calculated monthly, in addition to any collection costs reasonably incurred.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for cause may be immediate where a material breach is not cured within 15 days after written notice. Termination does not relieve Reporting Entity of obligations to pay for work performed through the effective termination date, including reasonable wind-down costs.

CONFIDENTIALITY

Contractor and Reporting Entity shall treat as Confidential Information all individually identifiable information and any non-aggregated personal data received in connection with preparation of the Vital Statistics Report. Confidential Information shall not be disclosed except as required by law or with the prior written consent of the disclosing party. Contractor shall implement and maintain administrative, physical, and technical safeguards appropriate to the sensitivity of the data to prevent unauthorized access, use, or disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of laws.

ENTIRE AGREEMENT

This instrument constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, representations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

CERTIFICATION

Reporting Entity hereby certifies that, to the best of its knowledge, the counts and information provided in this Vital Statistics Report are true, accurate, and complete as of the date of signature. Reporting Entity acknowledges that material misrepresentation in official reporting may subject the Reporting Entity to administrative or legal sanctions as provided by applicable law.
