VOCAL PERFORMANCE LICENSE

This Vocal Performance License (the "Agreement") is entered into as of Date: by and between Licensor Name: with address: (Licensor) and Licensee Name: with address: (Licensee).

WHEREAS

WHEREAS, Licensor is the owner or authorized representative of the vocal performance described below and has the full right and authority to grant the license set forth in this Agreement; and

WHEREAS, Licensee desires to obtain a license to use the Licensed Performance for the specific uses set forth herein, and Licensor is willing to grant such license on the terms and conditions of this Agreement.

WHEREAS, the parties intend that this Agreement set forth the full scope of rights, compensation and obligations with respect to the Licensed Performance.

SCOPE OF RIGHTS GRANTED

Licensor hereby grants to Licensee a (select one) Non-Exclusive    Exclusive license to use the Licensed Performance for the Permitted Uses described below, subject to the terms and limitations of this Agreement.

Incorporation into a master recording for distribution, sale or streaming
Synchronization in audiovisual content (film, TV, web) subject to separate sync license where required
Live public performance by Licensee or Licensee's designees
Use in promotional materials, advertising and marketing for the Licensed Work

PAYMENT TERMS

All payments due to Licensor shall be made in U.S. Dollars unless otherwise agreed in writing. Licensee is responsible for all transaction fees and any withholding taxes applicable to payments under this Agreement.

Either party may terminate this Agreement upon written notice to the other party if the receiving party fails to cure a material breach within days after receiving written notice of such breach. Termination for convenience requires days' prior written notice.

Upon termination, Licensee shall cease all unauthorized use of the Licensed Performance and shall pay Licensor all fees accrued but unpaid through the effective date of termination. Sections concerning confidentiality, indemnity, warranty survival and payment shall survive termination.

CONFIDENTIALITY

Each party shall maintain in confidence and not disclose to third parties any Confidential Information of the other party disclosed in connection with this Agreement. Confidential Information includes non-public business information, payment terms, and any unreleased recordings or materials. The confidentiality obligation shall not apply to information that is or becomes publicly available through no fault of the receiving party, or that is lawfully obtained from a third party without restriction.

For purposes of clarity, Licensee's public use of the Licensed Performance in accordance with this Agreement shall not be deemed a breach of confidentiality so long as such use has been approved under the Permitted Uses and any credit obligations are observed.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Licensor represents and warrants that it has full right, title and authority to grant the rights set forth herein, that the Licensed Performance does not infringe the rights of any third party, and that no additional clearance from performers or writers is required except as disclosed in writing. Licensee represents that its use will comply with applicable law and this Agreement.

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of a breach of the indemnifying party's representations or obligations under this Agreement.

CREDIT, PUBLICITY AND MORAL RIGHTS

Licensee shall provide reasonable credit to Licensor in connection with the Licensed Performance where credits customarily appear. Credit line (if applicable):

Licensor hereby waives to the fullest extent permitted by law any moral rights in the Licensed Performance with respect to Licensee's authorized uses; provided, however, Licensor shall not be required to waive any moral rights that cannot be waived under applicable law.

SUBLICENSING, ASSIGNMENT AND RECORDS

Licensee may sublicense the rights granted to affiliates or third parties for the Permitted Uses provided Licensee remains liable for sublicensees' compliance with this Agreement. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to substantially all of its business assets.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in that State, and the parties submit to personal jurisdiction therein.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
