WHEREAS, Service Provider operates and manages Voice over Internet Protocol (VoIP) services, including assignment and management of user authentication credentials and PINs; and

WHEREAS, Client maintains an active service account with Service Provider and requests issuance, reset, or modification of one or more VoIP PINs for protection and access to telephony features; and

WHEREAS, the parties desire to set forth the terms under which such PIN requests will be processed, billed, and protected.

SCOPE OF WORK

Service Provider will perform the following tasks in connection with the requested PIN action. Tasks shall be performed in accordance with Service Provider's standard provisioning procedures, subject to the terms below.

PAYMENT TERMS

Client agrees to pay Service Provider the fees associated with provisioning, resetting, or disabling VoIP PINs as set forth below.

Invoices are due according to the payment schedule stated above. Overdue amounts will accrue the late fee set forth above and may result in suspension of services until payment is remitted.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by providing written notice at least days prior to the desired termination date. Service Provider may terminate immediately for cause, including unauthorized disclosure of PINs or non-payment.

CONFIDENTIALITY

The parties acknowledge that VoIP PINs and associated authentication data constitute Confidential Information. Each party shall: (a) maintain the confidentiality of such information using at least the same degree of care it uses to protect its own confidential information but no less than a reasonable standard of care; (b) limit disclosure to employees or agents with a need to know; and (c) not use Confidential Information for purposes other than performing obligations under this Agreement. Confidentiality obligations do not apply to information that is publicly available other than by breach of this Agreement, independently developed without use of Confidential Information, or required to be disclosed by law, provided the disclosing party gives prompt notice where lawful and feasible.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attached statements of work or order forms explicitly incorporated herein, constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.
