VoIP Service Letter of Agreement

WHEREAS

This VoIP Service Letter of Agreement ("Agreement") is made effective as of by and between ("Client") and ("Provider").

WHEREAS, Provider is engaged in the business of supplying Voice over Internet Protocol telephony services, including call routing, termination, number management, and associated hosted features; and

WHEREAS, Client desires to obtain and Provider agrees to provide such VoIP services pursuant to the terms and conditions set forth in this Agreement.

PARTIES' CONTACT INFORMATION

SCOPE OF WORK

Provider will supply VoIP telephony services as described below. Services shall include but are not limited to provisioning of SIP trunks, call routing, DID management, hosted PBX features, and support as specified. All services shall conform to the functional requirements and acceptance criteria set forth herein.

SERVICE LEVELS

Provider warrants that the network availability for the core VoIP service shall be at least measured monthly, excluding scheduled maintenance and outages attributable to Client or third-party carriers. If monthly availability falls below the guaranteed level, Client shall be entitled to service credits as set forth below.

PAYMENT TERMS

Client shall pay Provider for the Services in accordance with the following fees and schedule.

All fees are exclusive of taxes. Client is responsible for all applicable taxes, duties and assessments imposed by any governmental authority, except for taxes based on Provider's net income.

TERM AND TERMINATION

The initial term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice. Provider may terminate immediately for non-payment by Client. Termination shall not relieve Client of payment obligations for services rendered prior to the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any proprietary or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"), except as required by law or to its employees, agents or contractors with a need to know who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that (a) is or becomes generally available to the public through no fault of the Receiving Party, (b) was rightfully in the Receiving Party's possession prior to disclosure, or (c) is independently developed without reference to Confidential Information.

LIMITATION OF LIABILITY AND INDEMNIFICATION

Except for willful misconduct or gross negligence, neither party shall be liable to the other for indirect, incidental, special or consequential damages, including lost profits, arising out of or related to this Agreement, even if such party has been advised of the possibility of such damages. Provider's aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the fees paid by Client to Provider under this Agreement in the twelve (12) month period preceding the event giving rise to the claim.

Client shall indemnify, defend and hold harmless Provider from and against any third-party claims arising from Client's misuse of the Service, unlawful content transmitted or stored by Client, or Client's breach of this Agreement. Provider shall indemnify Client to the extent a third-party claim arises out of Provider's gross negligence or willful misconduct in performing the Services.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform obligations under this Agreement to the extent such delay or failure is caused by events beyond the reasonable control of the affected party, including but not limited to acts of God, labor disputes, telecommunications carrier failures, or governmental acts.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may designate in writing.
