VOLUME REBATE SETTLEMENT AGREEMENT

Recitals

This Volume Rebate Settlement Agreement (the Agreement) is entered into by and between Payor: and Recipient: (each a Party and together the Parties), effective as of , (Effective Date).

WHEREAS, the Parties previously transacted business under commercial agreements that provided for volume-based rebates and credits for certain product purchases; and

WHEREAS, disputes have arisen concerning the computation and entitlement to volume rebates for the periods and invoices set forth in the Settlement Schedule below; and

WHEREAS, the Parties wish to fully and finally resolve all claims, disputes and potential claims related to the identified rebate periods without further litigation or arbitration on the terms and conditions set forth herein.

Settlement Schedule

The Parties agree the following reconciliation of claimed, disputed and agreed settlement amounts for volume rebates:

Payment Terms

Payor shall pay Recipient the Total Settlement Amount Payable by the Due Date set forth below. Payment shall be made in the currency specified and by the method selected. All payments are subject to the allocation and timing terms below.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, calculated daily from the due date until paid in full. Payor shall be responsible for all reasonable collection costs incurred by Recipient in enforcing payment.

Release

Upon receipt of the Total Settlement Amount Payable in cleared funds in accordance with this Agreement, Recipient releases and forever discharges Payor and its affiliates and their respective officers, directors, employees and agents from any and all claims, demands, actions, causes of action, liabilities, obligations, damages and expenses, whether known or unknown, arising out of or relating to the rebate periods and invoices set forth in the Settlement Schedule, through the Effective Date.

Confidentiality

The Parties shall treat the terms, amounts and negotiations relating to this Agreement as confidential and shall not disclose such information except as required by law or with the prior written consent of the other Party. Authorized disclosures shall be limited to persons with a need to know who are bound to safeguard confidentiality.

Representations and Warranties

Each Party represents and warrants that it has full corporate power and authority to enter into this Agreement, that the person executing this Agreement on its behalf is duly authorized to do so, and that this Agreement constitutes a legal, valid and binding obligation enforceable against such Party in accordance with its terms.

Taxes

Except as expressly provided in this Agreement, each Party shall bear its own taxes arising from the transactions contemplated herein. To the extent any tax withholding is required by applicable law, the Parties shall cooperate to minimize such withholding and provide documentation to support reduced rates or exemptions where available.

Audit and Cooperation

Each Party agrees to cooperate in good faith to provide reasonable supporting documentation, including sales records and invoices, necessary to effectuate the Settlement Schedule. Any audit rights retained under prior agreements are expressly limited and waived to the extent set forth in this Agreement.

Default

If Payor fails to make any payment when due, Recipient may declare the entire outstanding Settlement Amount immediately due and payable and pursue all remedies available at law or in equity. Nothing in this Agreement shall be deemed to waive a Party's right to seek injunctive or equitable relief.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Any dispute arising out of or relating to this Agreement that cannot be resolved by the Parties within thirty (30) days shall be submitted to binding arbitration before a single arbitrator under the arbitration rules selected by the Parties.

Miscellaneous

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior negotiations and agreements. Any amendment must be in writing and signed by authorized representatives of both Parties. If any provision is held unenforceable, the remainder shall remain in full force and effect.
