Either party may terminate this Agreement at will upon written notice to the other party delivered at least days prior to the intended termination date. Organization may terminate immediately for cause, including but not limited to breach of confidentiality, misconduct, unlawful acts, or failure to maintain required credentials.

CONFIDENTIALITY

Volunteer acknowledges that in the course of performing duties they may receive or observe confidential, proprietary or non-public information of the Organization or its clients. Volunteer agrees: (a) to hold such information in strict confidence; (b) not to disclose such information to third parties without prior written consent of the Organization; and (c) upon request or termination to return all materials containing confidential information. Confidential information does not include information that is or becomes publicly available through no fault of the Volunteer, information independently developed by the Volunteer without use of Organization materials, or information required to be disclosed by law provided Volunteer gives prompt notice to the Organization where legally permissible.

LIABILITY, INSURANCE AND INDEMNIFICATION

Volunteer acknowledges that participation is voluntary and may involve inherent risks. Volunteer assumes all risks associated with participation and releases the Organization, its directors, officers, employees and agents from liability for injury, loss or damage except to the extent caused by the Organization's gross negligence or willful misconduct. Volunteer agrees to indemnify and hold harmless the Organization from third-party claims arising from Volunteer’s negligent acts or omissions in the performance of volunteer duties. Volunteer shall maintain personal health insurance as appropriate.

COMPLIANCE WITH RULES AND BACKGROUND CHECKS

Volunteer shall comply with Organization policies, safety rules, and applicable laws while performing services. Organization may require completion of orientation, training, and background checks as a condition of service. Volunteer consents to reasonable background and reference checks where permitted by law and certifies the truthfulness of information provided to the Organization.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located in the county where the Organization maintains its principal office.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
