VOLUNTEER AGREEMENT SIGNATURE

This Volunteer Agreement (the "Agreement") is entered into by and between:

Recitals

WHEREAS, the Organization provides community programs and services and requires volunteer assistance to further its mission; and

WHEREAS, the Volunteer desires to provide certain services on a voluntary basis and the Organization desires to accept such services under the terms set forth herein; and

WHEREAS, the parties intend to set forth their mutual understanding of the volunteer relationship, scope of activities, confidentiality obligations, and termination procedures.

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

Scope of Work

Payment Terms

The parties acknowledge that the Volunteer serves on a voluntary basis and is not an employee of the Organization. Notwithstanding the foregoing, the Organization may provide reimbursement or a modest stipend as set forth below.

Term and Termination

Either party may terminate this Agreement for any reason upon providing the other party the notice specified above. Immediate termination may occur for cause, including breach of material obligations, unlawful conduct, or actions that create a safety risk.

Confidentiality

The Volunteer may have access to Confidential Information of the Organization. Confidential Information means non-public information that by its nature should reasonably be considered confidential. The Volunteer agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose such information except as required to perform authorized duties; and (c) not use Confidential Information for personal gain. This obligation survives termination of this Agreement.

Intellectual Property

Unless otherwise agreed in writing, any works or inventions created by the Volunteer in connection with services performed for the Organization that are specifically commissioned by the Organization shall be the Organization's property. The Volunteer hereby assigns all rights, title and interest in such works to the Organization and agrees to execute documents reasonably necessary to effectuate such assignment.

Liability and Insurance

The Volunteer agrees to perform services at their own risk. The Organization will not be liable for ordinary negligence by the Volunteer. The Organization shall maintain statutory or customary insurance for covered activities; however, the Volunteer is encouraged to maintain personal health and automobile insurance where applicable. The Organization's liability for any claims arising out of this Agreement shall be limited to cases of gross negligence or willful misconduct.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by both parties.
