Volunteer Organization Agreement

Recitals

WHEREAS, Organization Name: is a nonprofit or community organization providing programs and services to the public; and

WHEREAS, Volunteer Name: wishes to provide volunteer services to Organization under the terms set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows:

Scope of Work

Payment Terms

The parties acknowledge that volunteer service is ordinarily rendered without expectation of compensation. If compensation or reimbursement is provided, the terms are:

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Confidentiality

Volunteer will have access to Confidential Information of Organization. "Confidential Information" means non-public business, donor, programmatic, participant, and financial information disclosed by Organization. Volunteer agrees to:

(a) maintain Confidential Information in strict confidence; (b) use such information only for the performance of volunteer duties under this Agreement; and (c) not disclose Confidential Information to any third party except with prior written consent of Organization or as required by law.

Exceptions: Confidential Information does not include information that (i) is or becomes publicly known through no breach by Volunteer, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed by Volunteer without reference to Confidential Information.

Duration: Confidentiality obligations shall continue for Confidentiality Duration (years): after termination of this Agreement.

Liability and Insurance

Volunteer acknowledges that Organization does not provide worker's compensation for volunteers unless required by applicable law. Volunteer releases Organization from liability for injury or loss arising out of volunteer activities except to the extent caused by Organization's gross negligence or willful misconduct.

Indemnification

Volunteer agrees to indemnify and hold harmless Organization and its officers, directors, employees and agents from and against any third-party claims, liabilities, damages, or expenses arising out of Volunteer’s grossly negligent acts or willful misconduct in connection with the services performed under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to its conflict of law principles.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between Organization and Volunteer with respect to the subject matter hereof and supersedes all prior oral or written agreements. Any modification or amendment must be in writing and signed by both parties.

Acknowledgement

Volunteer affirms that Volunteer is at least 18 years of age or has obtained parental or guardian consent and that Volunteer will comply with Organization policies while performing volunteer duties. Volunteer acknowledges receipt of any training materials required for performance of duties.
