VOLUNTEER SERVICES AGREEMENT

WHEREAS, Organization operates programs and activities for charitable, educational, and community purposes and requires volunteer assistance to carry out such programs; and

Either party may terminate this Agreement for convenience by providing written notice at least days prior to the intended termination date. Organization may terminate immediately for cause, including but not limited to breach of policy, misconduct, or safety concerns.

CONFIDENTIALITY

Definition: "Confidential Information" includes non-public information disclosed by Organization to Volunteer in connection with services, including donor lists, financial data, program participant information, trade secrets, and other proprietary materials.

Obligation: Volunteer shall hold Confidential Information in strict confidence, shall not disclose such information to third parties, and shall use it solely to perform duties under this Agreement. Volunteer shall take reasonable measures to protect Confidential Information and shall return or destroy such information upon termination or upon Organization's request.

VOLUNTEER STATUS, LIABILITY AND INSURANCE

Volunteer Status: Volunteer is not an employee, contractor, or agent of Organization for any purpose, and shall not be entitled to wages, benefits, workers' compensation, unemployment insurance, or other employment protections.

Release and Indemnity: To the fullest extent permitted by law, Volunteer releases Organization and its officers, directors, employees and agents from any liability for injury, loss or damage arising out of Volunteer’s participation, except to the extent caused by the gross negligence or willful misconduct of Organization. Volunteer agrees to indemnify Organization against third-party claims arising from Volunteer’s negligent acts or omissions.

Insurance: Volunteer is encouraged to maintain personal health and accident insurance. Organization does not provide insurance coverage for volunteers unless expressly stated in writing.

BACKGROUND CHECKS AND COMPLIANCE

Volunteer consents to any background checks reasonably required by Organization for the position held. Continued participation may be conditioned on satisfactory completion of such checks.

DATA, MEDIA AND PUBLICITY

Media Release: Volunteer grants Organization the right to take and use photographs, audio recordings, and video recordings of Volunteer taken during activities for promotional and educational purposes, unless Volunteer indicates otherwise below.

Opt-out: Volunteer elects to opt out of media use as described above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous written or oral agreements. Any amendment must be in writing and executed by both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision is held invalid, the remaining provisions remain in full force and effect. Waiver of any breach must be in writing and signed by the waiving party.
