WHEREAS, Contractor is engaged in the business of constructing exterior walkways, driveways and related site work and holds the qualifications, licenses, equipment, and personnel necessary to perform the installation of a walkway at the Site Address identified above; and

WHEREAS, Client desires to engage Contractor to furnish labor, materials, and services to install a walkway in accordance with the Scope of Work and specifications set forth in this Agreement, and Contractor agrees to perform such work under the terms and conditions herein.

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the Work and payment therefor.

Contractor shall furnish all labor, materials, equipment, supervision and services necessary to perform the installation described below at the Site Address. The Work shall be performed in a good and workmanlike manner in accordance with industry standards, applicable building codes, and municipal requirements.

Late Payment: Unpaid amounts shall accrue interest at or the maximum rate allowed by law, whichever is less. Client is responsible for reasonable collection costs, including attorney fees, for overdue balances.

Change Orders

Any change to the Scope of Work that affects price or schedule shall be made only by a written Change Order signed by both parties. The Change Order shall describe the change, any adjustment to the Contract Price, and any extension of time. Contractor shall not be obligated to perform changes absent an executed Change Order.

Warranties, Insurance and Indemnity

Contractor warrants that the workmanship provided under this Agreement shall be free from defects for a period of from the date of completion. Manufacturer warranties for materials, if any, are separate and pass through to Client to the extent permitted by the manufacturer.

Indemnity: Contractor shall indemnify, defend and hold harmless Client from claims, damages or liabilities to the extent caused by Contractor's negligent acts or omissions in performance of the Work, except to the extent caused by Client's negligence.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after written notice. Confidentiality

Each party shall keep confidential all non-public business information disclosed by the other party and used in performance of this Agreement, excluding information that is or becomes publicly available without breach, is independently developed, or is required to be disclosed by law or court order. Confidential information shall be used solely for performance and enforcement of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved by good faith negotiation; if unresolved, the parties may pursue remedies in a court of competent jurisdiction in the county where the Site Address is located.

Entire Agreement; Assignment

This Agreement, including all attachments and executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements. Neither party may assign this Agreement without the prior written consent of the other, except that Contractor may assign receivables.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party designates in writing. Notices shall be effective upon delivery by hand, electronic delivery acknowledged by recipient, or three days after deposit in the U.S. mail with postage prepaid.

Acknowledgment
