Confidentiality

Each party shall maintain in confidence all proprietary or confidential information disclosed by the other party and shall not use such information except to perform obligations under this Proposal. Confidential information does not include information that is publicly available, rightfully received from a third party, or required to be disclosed by law, provided the disclosing party is given prompt notice and assistance to limit disclosure.
