Recitals

WHEREAS, Client desires to engage Contractor to supply and install decorative wall vinyl materials at the Project Address in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Contractor has represented that it possesses the experience, skill, and resources necessary to perform such installation in a workmanlike manner and in accordance with applicable industry standards; and

WHEREAS, the parties wish to set forth their respective rights and obligations regarding the supply, installation, and acceptance of the wall vinyl installation.

Either party may terminate this Agreement upon written notice to the other if the other party materially breaches any obligation and fails to cure such breach within days after receipt of written notice. Notice shall be provided in writing to the addresses set forth above.

Confidentiality

Each party agrees that all drawings, pricing, specifications, mock-ups, and other proprietary information exchanged in connection with the Project shall be treated as confidential and shall not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law.

The obligations of confidentiality shall survive termination of this Agreement for a period of years.

Insurance, Warranties and Liability

Contractor shall maintain commercial general liability insurance and workers' compensation in amounts consistent with industry standards. Contractor warrants that installation services will be performed in a good and workmanlike manner for a period of from completion. Manufacturer warranties for materials, if any, shall be assigned to Client to the extent assignable.

Except for the warranties expressly provided, Contractor disclaims all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Except for gross negligence or willful misconduct, Contractor's liability for damages shall be limited to the total amount paid by Client under this Agreement.

Permits, Access and Site Conditions

Client is responsible for obtaining any necessary permits unless otherwise agreed in writing. Client warrants that the Project site is free of conditions that would impede installation; any unanticipated site conditions discovered by Contractor will be reported and a written change order will be issued if additional work or materials are required.

Acceptance and Punch List

Upon substantial completion, Client shall inspect the work and provide Contractor with a written punch list of items to be corrected within days. Contractor shall correct punch list items in a timely manner at no additional cost if within warranty and scope.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against all claims, liabilities, losses and expenses arising from the indemnifying party's negligence or willful misconduct in connection with the performance of its obligations under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including any exhibits, attachments and duly executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other.
