WHEREAS, Client requires the engagement of trained wardens to perform designated safety, security, and administrative duties for the Client locations identified herein; and

WHEREAS, Service Provider represents that it employs, supervises, and maintains records for wardens who are qualified and authorized to perform the Scope of Work described in this Agreement; and

WHEREAS, the parties wish to set forth the terms under which Service Provider will provide warden services and maintain the official Warden List for Client.

SCOPE OF WORK

Service Provider shall provide wardens to perform safety, evacuation coordination, security monitoring, incident reporting, and other assigned duties as set forth below and in accordance with Client policies and applicable law. Detailed tasks, performance metrics, and reporting requirements are described in the project schedule and the Warden List maintained by Service Provider.

WARDEN LIST

The following section is the official Warden List. Service Provider shall maintain current records for each warden named below and shall provide updates to Client within the notice period specified below.

Additional warden entries may be appended by Service Provider and shall be incorporated into this Agreement by reference when an updated Warden List is delivered to Client in accordance with the notice provisions below.

Client shall pay Service Provider for services rendered as follows:

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

Each party shall treat the Warden List and all related records, personnel files, training records, and incident reports as Confidential Information. Confidential Information shall not be disclosed to third parties except as required by law or as necessary to perform the obligations under this Agreement. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

ENTIRE AGREEMENT

Any amendment must be in writing and signed by authorized representatives of both parties.

COMPLIANCE AND CERTIFICATION

Service Provider certifies that each warden listed meets the training, background screening, and licensure requirements specified by Client and applicable law. Service Provider shall maintain records and provide copies upon reasonable request or as required by law.
