CONFIDENTIALITY

Each party acknowledges that the inventory records, valuation information, photographs, client lists and related materials constitute confidential information. Service Provider shall not disclose or use such confidential information except as necessary to perform the services described herein or as required by law. Service Provider shall implement reasonable safeguards to prevent unauthorized access or disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles.

ENTIRE AGREEMENT
