SCOPE OF WORK

The Warehouse Operator shall, upon presentation of proper identification and this executed Release Form, release and deliver the goods described above to the Authorized Receiver at the address or loading location specified below. Warehouse Operator's obligations are limited to delivery from its storage location and securing of goods in the ordinary course of operations.

Either party may terminate this Release upon written notice to the other party delivered at least days prior to the effective termination date. Termination does not relieve the Client of liability for charges incurred prior to the effective date of termination.

The parties agree that proprietary business information, pricing, security procedures, inventory valuations, and other information reasonably designated as confidential shall be maintained in confidence by the receiving party and shall not be disclosed to third parties except as required by law or with the disclosing party's written consent.

LIENS, STORAGE, AND CHARGES

Warehouse Operator retains all rights, including statutory liens, until all charges for storage, handling, demurrage, and release are paid in full. If the goods are not removed within the agreed period, Warehouse Operator may, after providing any required notice, remove or sell the goods in accordance with applicable law to satisfy outstanding charges.

INDEMNITY AND LIABILITY

Client agrees to indemnify, defend, and hold harmless Warehouse Operator, its agents and employees from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorney's fees) arising out of or in connection with the release, transportation, handling or subsequent disposition of the goods after release. Warehouse Operator shall not be liable for loss or damage to goods after delivery to the Authorized Receiver, except for loss or damage caused by Warehouse Operator's gross negligence or willful misconduct, as established by a court of competent jurisdiction.

GOVERNING LAW

This Release shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law rules.

ENTIRE AGREEMENT

This Release, together with any referenced attachments or invoices, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral.
