WAREHOUSE SAFETY GLOVES AGREEMENT

Parties

Recitals

WHEREAS, Company operates a warehouse facility and requires personal protective equipment for warehouse personnel, including safety gloves meeting specified performance standards; and

WHEREAS, Supplier is engaged in the business of supplying safety gloves and related services and represents that it can provide gloves conforming to the performance, sizing, and durability specifications set forth herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Supplier will supply, replenish, and manage safety gloves for Company's workforce, effective as of .

Scope of Work

Supplier shall provide safety gloves and related services as described below. Supplier shall perform supply, inventory management, quality inspection, and replacement services in accordance with the specifications and schedule agreed by the parties.

Supplier represents that all gloves delivered under this Agreement shall meet the following minimum specifications:

Payment Terms

Company shall pay Supplier for goods and services provided under this Agreement in accordance with the terms stated below.

All invoices submitted by Supplier shall itemize quantities, glove types, unit prices, and applicable taxes. Company may withhold payment for nonconforming goods until corrected; Supplier bears cost of replacement and shipping for nonconforming items.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated as provided herein.

Either party may terminate for material breach if the breaching party fails to cure such breach within the notice period set forth above. Company may terminate immediately for Supplier's repeated delivery of nonconforming products that materially affect safety operations.

Confidentiality

Each party acknowledges that in performing under this Agreement it may receive Confidential Information from the other party. "Confidential Information" means non-public business, technical, operational, safety, personnel, and proprietary information disclosed in any form. Recipient shall: (a) hold Confidential Information in strict confidence; (b) use such information only for performance under this Agreement; and (c) restrict disclosure to employees and agents with a need to know who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly available through no fault of Recipient, that is rightfully received from a third party without restriction, or that is independently developed.

Upon termination or expiration, Recipient shall, at Discloser's election, return or destroy Confidential Information and certify such destruction in writing within thirty (30) days.

Indemnification and Liability

Supplier shall indemnify, defend and hold harmless Company, its officers, directors and employees from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Supplier's breach of warranty, negligence, willful misconduct, or delivery of defective gloves that cause personal injury or property damage. Neither party shall be liable for incidental or consequential damages except for liability arising from personal injury or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between Company and Supplier with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Warranties; Quality Assurance

Supplier warrants that all gloves delivered hereunder shall be free from defects in material and workmanship, shall conform to the agreed specifications, and shall be fit for the intended warehouse safety purposes. Supplier shall maintain quality control records and make them available to Company upon reasonable request.

Notices

Notices required or permitted hereunder shall be in writing and delivered to the contact addresses set forth above by hand, nationally recognized overnight courier, or certified mail, return receipt requested, or by other mutually agreed method, and shall be effective upon receipt.

Acceptance

The parties, by their authorized representatives below, agree to be bound by the terms and conditions of this Agreement as of the effective date set forth above.
