5. Holder Representations. Holder represents and warrants to Issuer that: (a) Holder has full power and authority to execute and deliver this Agreement and to perform its obligations hereunder; (b) the execution and performance of this Agreement will not conflict with any agreement or instrument to which Holder is a party; (c) Holder is acquiring the Shares for investment for Holder's own account and not with a view to distribution; and (d) Holder has such knowledge and experience in financial and business matters that Holder is capable of evaluating the merits and risks of the investment in the Shares.

6. Issuer Representations. Issuer represents and warrants to Holder that: (a) Issuer is duly organized and validly existing under the laws of the jurisdiction of its organization and has full corporate power to enter into and perform this Agreement; (b) the Shares, when issued and paid for in accordance with this Agreement, will be validly issued, fully paid and nonassessable; and (c) there are no actions, suits or proceedings pending which would materially impair Issuer's ability to perform its obligations hereunder.

7. Restrictive Legends. Issuer may place a restrictive legend on any certificate representing the Shares stating that the Shares have not been registered under applicable securities laws and may not be transferred except pursuant to registration or an available exemption. Holder agrees not to sell, assign or otherwise transfer any Shares unless compliance with applicable law has been satisfied and the Issuer has been indemnified for any expenses.

Taxes, Expenses and Adjustments

8. Taxes and Expenses. Holder shall be responsible for any transfer taxes or fees arising from the issuance or transfer of the Shares. Issuer shall be responsible for Issuer's fees and costs of issuance. Any necessary adjustments to the number of shares or exercise price shall be made in accordance with the adjustment provisions in the Warrant.

Notices

9. Notices. All notices or other communications required or permitted hereunder shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice). Notices shall be deemed effective upon receipt.

Governing Law; Miscellaneous

10. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

11. Entire Agreement; Amendment. This Agreement, together with the Warrant and any schedules or certificates delivered hereunder, constitutes the entire agreement between the parties with respect to the subject matter hereof. Any amendment or waiver must be in writing and signed by both parties.
