WARRANTY AGREEMENT

This Warranty Agreement ("Agreement") is made and entered into as of Day: Month: Year: , by and between Warranty Provider: , with principal place of business at , and Purchaser: , with address at .

RECITALS

WHEREAS, Provider designs, manufactures or supplies the product described below and has the authority to provide express warranties with respect thereto; and

WHEREAS, Purchaser has purchased or received the Product and desires an express warranty for defects in materials and workmanship under the terms set forth in this Agreement; and

WHEREAS, Provider and Purchaser desire to set forth their respective rights and remedies for nonconformities and defects.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

"Product" means the item(s) sold or supplied by Provider to Purchaser described as: .

"Warranty Period" means the period commencing on the date of purchase as evidenced by proof of purchase and continuing for months, unless earlier terminated as provided herein.

2. WARRANTY GRANT

Provider warrants to Purchaser that, during the Warranty Period, the Product will be free from defects in materials and workmanship under normal use and service. This express limited warranty is the sole warranty provided by Provider with respect to the Product.

3. SCOPE AND EXCLUSIONS

The warranty extends only to defects arising from normal use and does not cover: (a) misuse, neglect, alteration, accident, abuse, improper installation or maintenance; (b) consumable components unless failure has occurred due to a defect in materials or workmanship; (c) damage from external causes including but not limited to water, fire, or lightning; or (d) products subjected to modifications not authorized in writing by Provider.

4. REMEDIES

Upon timely receipt of a valid warranty claim, Provider shall, at its sole option and expense, elect to:

Provider's obligation to repair or replace shall include reasonable labor and parts; replacement parts may be new or refurbished. Any replaced Product or parts become the property of Provider. If Provider elects refund, such refund shall be limited to the purchase price paid by Purchaser for the defective Product less a reasonable usage allowance.

5. LIMITATION OF LIABILITY

EXCEPT FOR PROVIDER'S OBLIGATION TO PROVIDE THE REMEDIES EXPRESSLY SET FORTH IN SECTION 4, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL PROVIDER BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT, LOSS OF USE, OR LOSS OF DATA, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PROVIDER'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE PAID BY PURCHASER FOR THE AFFECTED PRODUCT.

6. CLAIM PROCEDURE

To make a warranty claim, Purchaser must (a) provide written notice to Provider describing the defect with reasonable detail; (b) furnish proof of purchase and date of purchase; and (c) permit Provider reasonable access to inspect the Product. Notice shall be given to Provider at:

Failure to follow the claim procedure in this Section 6 may void the warranty for the affected claim.

7. TRANSFERABILITY

This warranty is transferable to subsequent owners within the Warranty Period    is not transferable. If transferable, the transfer is conditioned upon notice to Provider and compliance by the transferee with the claims procedure.

8. INSPECTION AND RETURNS

Purchaser shall not return Product to Provider without Provider's prior written authorization. If Provider authorizes return, Purchaser shall ship the Product prepaid and insured in accordance with Provider's instructions. Provider shall not be responsible for loss or damage in transit where Purchaser arranges shipment.

9. INDEMNIFICATION

Purchaser shall indemnify, defend and hold harmless Provider from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising from Purchaser's misuse, alteration, or negligent handling of the Product or breach of this Agreement.

10. FEES AND EXPENSES

Except as otherwise set forth herein, Purchaser is responsible for any shipping, transportation, insurance and handling costs associated with submitting a claim unless Provider elects to cover such costs in writing.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for any dispute arising out of this Agreement.

12. ENTIRE AGREEMENT; AMENDMENT; WAIVER

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification to this Agreement must be in writing and signed by both parties. The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired, and the parties agree to replace the invalid provision with a valid provision that most closely approximates the parties' original intent.

14. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and shall be delivered to the notice addresses set forth below by certified mail, courier, or personal delivery and shall be deemed given on the date of delivery.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which when executed shall be an original, and all of which together shall constitute one and the same instrument. Signatures provided by electronic means or scanned copies of originals shall be deemed to be original signatures for all purposes.
