SCOPE OF WORK

Provider agrees to perform the following inspection, repair, replacement, or other remedial actions as necessary to address the warranty claim. The parties acknowledge that the described scope below is subject to inspection and final acceptance by Provider.

This Agreement commences on the Effective Date and continues until the earlier of: (a) completion of the Scope of Work and full payment of amounts due; or (b) termination by either party in accordance with the notice provisions below.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public technical, commercial and other proprietary information disclosed by the other party in connection with this Agreement ("Confidential Information"), and shall not use or disclose such Confidential Information except as necessary to perform obligations under this Agreement. Confidential Information does not include information that is or becomes generally known to the public through no fault of the receiving party, or is rightfully received from a third party without restriction.

LIMITATION OF LIABILITY & INDEMNIFICATION

Except for willful misconduct or gross negligence, Provider's aggregate liability arising out of or related to this Agreement shall be limited to the amount actually paid by Claimant under this Agreement with respect to the specific claim at issue. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES. Claimant shall indemnify, defend and hold harmless Provider from any third-party claims resulting from Claimant's misuse, unauthorized repair, or alteration of the product.

REPRESENTATIONS & WARRANTIES

Claimant represents and warrants that the information provided in connection with the warranty claim is true and complete to the best of Claimant's knowledge, that Claimant is the owner of the product or otherwise authorized to bring the claim, and that no other claims or liens exist that would impair Provider's ability to perform the Scope of Work.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Venue for any dispute arising under this Agreement shall be in the appropriate state or federal court located in that state.

ENTIRE AGREEMENT

This Agreement, including any attachments or documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

All notices under this Agreement must be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice). Notices are effective upon receipt.
