WHEREAS

WHEREAS, Client is the owner or authorized agent of the property located at (the "Site") and requires removal and lawful disposal of excavated materials, spoils and other waste generated by construction or site operations; and

WHEREAS, Contractor is duly permitted, licensed and insured to collect, transport, process and dispose of non-hazardous and, as identified below, hazardous materials and agrees to perform spoil removal services in accordance with applicable statutes, regulations and industry standards.

NOW, THEREFORE, Client and Contractor (each a "Party" and together the "Parties") agree as follows:

Permits, Manifests and Compliance

Contractor shall obtain and maintain all permits, manifests, transportation papers and approvals required for the lawful removal, transport and disposal of the spoils. Contractor will provide copies of required manifests and disposal receipts to Client within ten (10) business days of final delivery.

Amounts unpaid beyond the due date shall accrue interest at or the maximum lawful rate, plus reasonable collection costs.

Either Party may terminate this Agreement for cause upon material breach by the other Party that remains uncured for days after written notice. Either Party may terminate for convenience upon days' prior written notice. Termination shall not affect obligations accrued prior to the effective termination date, including payment for services performed and disposal costs incurred.

Confidentiality

Each Party shall keep confidential all non-public business information of the other Party obtained in connection with this Agreement and shall not disclose such information except to its employees, contractors or regulatory authorities on a need-to-know basis or as required by law. Confidential information does not include information that: (a) is or becomes generally available to the public through no wrongful act of the receiving Party; (b) was lawfully received from a third party without restriction; or (c) was already in the receiving Party's possession without obligation of confidentiality.

Liability, Indemnity and Insurance

Contractor shall perform services in a professional manner and shall indemnify, defend and hold harmless Client from and against claims, losses or liabilities arising from Contractor's negligence, willful misconduct or breach of this Agreement, except to the extent caused by Client's negligence. Client shall indemnify Contractor for claims arising from Client-supplied materials or Client’s directions inconsistent with law. Contractor shall maintain insurance customary for waste transport and disposal operations, including commercial general liability, automobile liability and pollution liability where applicable, and shall provide evidence of insurance upon request.

Certification of Proper Disposal

Contractor certifies that all spoils removed under this Agreement will be transported and disposed of at legally authorized facilities and that Contractor will provide Client with copies of disposal receipts, manifests, and any regulatory documentation evidencing lawful disposal. Contractor further certifies that it will notify Client promptly if testing or inspection reveals regulated contaminants that alter handling or disposal requirements.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the Parties below. The Parties shall attempt to resolve disputes in good faith; absent resolution, disputes shall be adjudicated in the courts of the selected state unless the Parties agree in writing to alternative dispute resolution.

Entire Agreement

This Agreement, including any attached schedules and manifests, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, proposals and agreements. No amendment shall be effective unless in writing and signed by authorized representatives of both Parties.
