RECITALS

WHEREAS, Provider is duly licensed and experienced in the collection, transportation, handling and lawful disposal or transfer of non-hazardous and specified waste streams from commercial, industrial, or municipal sites; and

WHEREAS, Client operates facilities and desires Provider to perform waste removal services at the Service Location described below in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties intend to define scope, compensation, responsibilities, and risk allocation in this Agreement.

CONFIDENTIALITY

Each party agrees that it will not, without the prior written consent of the other party, disclose any Confidential Information of the other party to any third party. "Confidential Information" means information that is proprietary or confidential and is marked as such or should reasonably be understood to be confidential, including manifests, pricing, customer data, and disposal methods. Confidential Information does not include information that is publicly available through no fault of the receiving party or is required to be disclosed by law, in which case the disclosing party shall be notified to the extent permitted.

INSURANCE; INDEMNIFICATION

Provider will maintain at its own expense commercial general liability insurance, automobile liability, and workers' compensation coverage in amounts customary for the industry. Provider shall provide proof of insurance upon request. Provider shall indemnify, defend and hold harmless Client from and against all claims, liabilities, losses and expenses arising out of Provider's breach of this Agreement, negligence, or willful misconduct in the performance of services, subject to applicable law.

COMPLIANCE WITH LAWS; ENVIRONMENTAL REQUIREMENTS

Provider shall perform services in compliance with all applicable federal, state and local laws, rules and regulations governing waste handling, transportation, storage and disposal. Provider will properly characterize and document waste streams, provide manifests where required, and promptly notify Client of any events that may trigger regulatory reporting. Client represents that it has disclosed to Provider the presence of any hazardous materials and will cooperate with Provider in labeling, segregation and permitting as required.

ACCESS, PERMITS AND SITE CONDITIONS

Client shall provide Provider reasonable access to the Service Location during agreed hours and shall obtain any permits or authorizations required of Client. Provider is not responsible for delays or additional charges resulting from incorrect site information, restricted access, or hazardous conditions not previously disclosed in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, including any attachments or purchase orders expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Amendments must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in interest upon notice to Client.
