Recitals

WHEREAS, Provider is engaged in the business of supplying, installing, and maintaining water dispensing equipment and related consumables; and

WHEREAS, Client desires to obtain from Provider a water dispenser and related services on the terms and conditions set forth in this Agreement; and

WHEREAS, Provider agrees to supply, install and, where applicable, service the equipment under the terms herein.

Scope of Work

Payment Terms

Client shall pay Provider as compensation for the equipment and services the amounts set forth below. All payments are due in lawful currency and are exclusive of taxes unless otherwise stated.

Invoices shall be issued by Provider in accordance with the Payment Schedule. Payment shall be due within days of invoice receipt. Late payments will incur a late fee equal to per month or the maximum permitted by law, whichever is less, with a minimum late charge of .

Term and Termination

The term of this Agreement commences on , and continues until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Provider may terminate immediately for nonpayment or material breach if such breach is not cured within days after written notice.

Upon termination, Client shall return the equipment to Provider in substantially the same condition as delivered, ordinary wear and tear excepted. If equipment is not returned or is returned damaged beyond ordinary wear and tear, Client shall reimburse Provider for repair or replacement at Provider's reasonable cost.

Maintenance, Repairs and Consumables

Provider shall perform routine maintenance and repairs as described in the Scope of Work. Provider shall be responsible for parts and labor unless damage is caused by misuse or negligence by Client. Consumables such as filtration cartridges and bottled water replacements are included only if expressly stated in the Scope of Work.

Confidentiality

Each party shall maintain in confidence all non-public business and technical information disclosed by the other party that is designated as confidential or that, under the circumstances, should reasonably be understood to be confidential. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party or that is rightfully received from a third party without restriction. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Liability and Insurance

Provider shall maintain commercial general liability insurance and equipment insurance in amounts reasonably appropriate to the services provided. Except for claims arising from gross negligence or willful misconduct, each party's aggregate liability to the other for claims arising under this Agreement shall not exceed the total fees paid by Client under this Agreement in the preceding twelve (12) months.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflicts of law principles.

Entire Agreement

This Agreement, including the Scope of Work and any written attachments or amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous
