What a Water Diversion Agreement Covers

A Water Diversion Agreement is a written contract that allocates rights and responsibilities for diverting surface water or groundwater from a source to a user or facility. It defines the parties, diversion point, permitted quantity or rate, timing or seasonality, delivery obligations, maintenance duties, term, and dispute-resolution processes. The agreement often references applicable permits or registrations, compliance with state water law, and recording or filing requirements. Properly drafted, it clarifies operational limits, avoids downstream impacts, and supports enforceability by state agencies and courts.

Why a Clear Agreement Matters for Water Use

A clear Water Diversion Agreement reduces regulatory risk, defines allocation during shortages, and documents who is responsible for permits, measurement, and mitigation. It creates enforceable duties, simplifies agency review, and supports dispute resolution by documenting intent and operational limits.

Why a Clear Agreement Matters for Water Use

Who Typically Prepares and Signs These Agreements

Legal counsel, water resource engineers, and permitting specialists commonly review the agreement before execution to ensure regulatory compliance and operational clarity.

  • Landowners and irrigators — Parties that use or control diversion infrastructure and need documented allocation and maintenance responsibilities.
  • Municipal utilities and water districts — Entities securing rights for public supply, compliance, and reporting to state agencies.
  • Developers and project owners — Those who require diversion terms for construction, stormwater, or temporary dewatering during projects.

Core Sections to Include in a Professional Agreement

A complete Water Diversion Agreement balances operational detail, legal protections, and regulatory obligations so the parties and agencies can implement and enforce the arrangement.

Parties

Full legal names and capacities of grantor and grantee, including entity type and signatory authority, to ensure enforceability and accurate recordation.

Water Description

Clear identification of source (stream, river, spring, aquifer), including coordinates or legal land description and any upstream or downstream reference points.

Diversion Point

Precise diversion location and equipment description (intake, pumps, screens), access rights, and any easements needed for operation or maintenance.

Quantity & Schedule

Authorized flow rate, total volume, seasonal limits, and measurement or telemetry requirements to demonstrate compliance with permits and reduce disputes.

Permits & Approvals

Identification of required state or local permits, who secures and maintains them, notice obligations for changes, and responsibility for fees.

Remedies

Breach consequences, curtailment procedures during shortages, indemnities, insurance requirements, and dispute-resolution mechanisms (mediation, arbitration, court).

Step-by-Step: From Draft to Recorded Agreement

Follow a consistent sequence to reduce risk and keep regulators and stakeholders informed throughout the process.

  • 01
Prepare Draft: Assemble facts, maps, and permit references; have counsel review.
  • 02
Secure Permits: Apply to the appropriate state agency before diversion begins.
  • 03
Execute Agreement: All parties sign; obtain notarization or RON if required.
  • 04
Record and Distribute: File with county or state registry; share signed copies with agencies.

Typical Execution Flow for an Electronically Signed Agreement

An electronic workflow expedites review, signing, and distribution while preserving an evidentiary audit trail for regulators and courts.

  • Negotiate Terms: Parties exchange and finalize terms, often with tracked edits.
  • Prepare Final PDF: Convert to a PDF with designated signature and date fields.
  • Authenticate Signers: Use email, SMS, or stronger verification for signer identity.
  • Sign and Archive: Capture signed copy with time stamps and audit trail.

Configure Your Online Workflow for This Agreement

Design fields and authentication to match legal needs and agency expectations, minimizing manual steps and errors.

Field Detection and Placement Use automatic field recognition or manually place signature, date, and initial fields in the final PDF.
Conditional Fields Require additional fields only when specific options are selected to reduce clutter and errors.
Signer Order Set signing order when signatures must follow a sequence or one party signs after permit approval.
Authentication Level Choose email, SMS code, or KBA depending on document sensitivity and regulatory expectations.
Attachments and Exhibits Attach maps, permits, or telemetry specifications as supporting exhibits in the workflow.

Technical Considerations for eSigning and Submission

Ensure the chosen platform supports secure storage, exportable audit logs, and any required Business Associate Agreement for HIPAA contexts.

  • Integrations: Connectors for Salesforce, NetSuite, Box and others ease record keeping.
  • Authentication: Support for SMS, email, and advanced signer verification reduces identity risk.
  • File Formats: PDF and DOCX support ensures exhibits remain intact when archived.

Security and Compliance Checklist for Signed Agreements

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamps, IP, and action history retained
Certifications: SOC 2 Type II and ISO 27001 available
HIPAA Support: BAA required for protected health information
ESIGN/UETA: eSignatures comply with ESIGN and UETA
Access Controls: SSO, role-based permissions, and session limits

Consequences of an Improper or Missing Agreement

Permit Denial: Operations may be halted until approvals obtained
Civil Fines: State regulators can impose monetary penalties
Unenforceable Terms: Vague language may void contractual remedies
Criminal Liability: Unauthorized diversion can trigger criminal charges
Recording Rejection: Incorrect document formatting may be refused by county
Insurance Gaps: Lack of required insurance exposes parties to risk

Typical Timing and Processing Expectations

Timelines vary by state and permit complexity; factor in seasonal constraints and agency review windows when planning projects.

Permit Application:

Plan for 3–12 months for review and public notice

Execution Effective Date:

Agreement takes effect on the signed effective date

Recording Window:

Record promptly after execution to protect priority rights

Annual Reporting:

Many states require yearly diversion reports or measurement submittals

Seasonal Curtailment:

Shortage schedules may trigger immediate reductions
