Scope of Work

Payment Terms

Client agrees to pay all fees and any reasonable costs of collection, including attorneys' fees, for overdue balances. Quotations for testing are estimates; Laboratory will notify Client of material increases prior to completion of testing.

Either party may terminate this agreement for cause where the other party materially breaches obligations and fails to cure within the notice period. Termination does not relieve the Client of responsibility to pay for services performed and costs incurred through the effective date of termination.

Confidentiality

The Laboratory will treat Client data and results as confidential proprietary information, and will not disclose such information except to regulatory authorities where required by law or with the Client's prior written consent. Data may be used in anonymized form for quality control and method development unless Client expressly prohibits such use in writing.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Laboratory's primary facility is located. The parties consent to exclusive venue in the courts of that jurisdiction for any disputes arising under this agreement.

Entire Agreement

This form, together with any attachments and written quotations signed by both parties, constitutes the entire agreement between the Client and the Laboratory with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
